新濠國際發展(00200.HK)：SCIHL進行私人配售
格隆匯2月8日丨新濠國際發展(00200.HK)發佈公吿，在SCIHL(Studio City International Holdings Limited，新濠博亞娛樂的上市附屬公司)向證交會提交的6-K表格中，SCIHL宣佈，其已與若干現有的普通股及美國預託股份的機構持有人訂立認購協議，該等機構持有人合共持有超過99%的SCIHL已發行股份。認購協議規定，該等機構股東可按每股A類股份0.75美元(相當於約5.85港元)或每股美國預託股份3.00 美元(相當於約23.4港元)的認購價，認購SCIHL將發行的新A類股份或美國預託股份(各代表四股A類股份)。
作為該等私人配售的一部份，2022年2月7日(美國東部標準時間)，MCO Cotai 與SCIHL訂立認購協議，據此，SCIHL同意向MCO Cotai發行而MCO Cotai同意向SCIHL購買2.201億股A類股份，價格為每股A類股份0.75美元(相當於約5.85港元)而總購買價約為1.651億美元(相當於約12.878億港元)。
緊接私人配售前，MCO Cotai持有的A類股份佔SCIHL已發行股份約54.7%，並預期於私人配售完成時持有SCIHL已發行股份約54.9%。此外，亦作為該等私人配售的一部份，New Cotai與SCIHL訂立認購協議，據此，New Cotai同意向SCIHL購買9382.24萬股A類股份(包括美國預託股份下的相關A類股份)，價格為每股A類股份0.75美元(相當於約5.85港元)而總購買價約為7040萬美元(相當於約5.491億港元)。
此外，亦作為該等私人配售的一部份，Silver Point與SCIHL訂立認購協議，據此，Silver Point同意向SCIHL購買5574.77萬股A類股份(包括美國預託股份下的相關A類股份)，價格為每股A類股份0.75美元(相當於約5.85港元)而總購買價約為4180萬美元(相當於約3.26億港元)。
根據SCIHL存置的持股記錄(及其所獲悉的資料)，緊接私人配售前，New Cotai及Silver Point在SCIHL已發行股份中分別擁有約23.3%及13.9%的權益，並預期於私人配售完成時在SCIHL已發行股份中分別擁有約23.4%及13.9%的權益。
