格隆匯2月7日丨九尊數字互娛(01961.HK)公吿，公司獲多名賣方即Captain Playe r JLCY Saga Investment CompanyLimited、Captain Player LJHJH Saga Investment CompanyLimited、Captain Player WW Saga Investment Company Limited、Captain Player Dragon Wing Saga Investment CompanyLimited及Captain Playe r LTZL Saga Investment CompanyLimited吿知，於2022年1月20日，多名買方、賣方及保證人訂立買賣協議，內容有關買賣合共3.93億股銷售股份（相當於公司於本聯合公吿日期全部已發行股本約71.90%），總代價為2.16億港元（相當於每股銷售股份0.55港元）。完成於2022年1月20日落實。
緊隨完成後及於本聯合公吿日期，買方（包括要約人Infinities Global Technology Limited Partnership）、其最終實益擁有人及任何彼等的一致行動人士於合共3.93億股股份（相當於公司全部已發行股本約71.90%）中擁有權益。
根據收購守則規則26.1，要約人須就所有已發行股份提出無條件強制性現金要約。每股要約股份0.55港元，較股份於2022年1月20日在聯交所收市價每股0.76港元折讓約27.63%。
要約人為於2021年12月在英屬處女羣島成立的有限合夥企業，旨在收購銷售股份，由Infinities Worldwide Limited（為其普通合夥人）及劉曉珂女士（為其有限合夥人）分別擁有約53.74%及46.26%。要約人的合夥持股自其成立起及直至本聯合公吿日期並無變動。
Infinities Worldwide Limited由Infinities Technology (Cayman) Holding Limited間接全資擁有，於2018年中註冊成立，為多牛科技集團企業重組的一部分。多牛科技集團於2012年成立，主要於中國從事科技及媒體業務。
買方（包括要約人）的意向為集團的現有主要業務將於股份要約完成後維持及持續。買方（包括要約人）確認，無意於合適機會出現時在股份要約期內進一步擴展及╱或剝離集團的現有業務。買方（包括要約人）將於股份要約截止後對集團的現有主要業務及財務狀況進行審閲，以就集團主要業務的未來發展及擴張制定業務計劃及策略。
此外，公司已向聯交所申請股份自2022年2月8日上午九時正起於聯交所恢復買賣。
