英飛特(300582.SZ)：董事及其近親屬短線交易及致歉
格隆匯2月7日丨英飛特(300582.SZ)公佈，公司於近日收到公司董事林鏡出具的《關於短線交易的情況説明及致歉聲明》，獲悉林境在股權激勵計劃獲授的限制性股票完成登記前的6個月內，其配偶存在賣出公司股份的行為，導致林境構成短線交易。公司知悉後第一時間對該事項進行了核查。
經核查，林鏡為公司2021年限制性股票激勵計劃的授予對象。林鏡在公司辦理股權激勵限售股股份登記前，在自查買賣公司股份的情況時，林鏡的配偶戴尚鐲未想起其曾於2021年8月30日存在賣出公司股份的行為，從而導致林鏡未吿知公司相關情況。因此，公司在不知悉上述事實的情況下，為林鏡辦理了股權激勵限售股授予登記手續並於2022年1月27日完成了股份登記，視同林鏡買入公司股份，導致林鏡短線交易。具體交易明細如下：
根據《證券法》、《深圳證券交易所上市公司自律監管指引第2號——創業板上市公司規範運作》等的相關規定，上述行為構成了短線交易。此次短線交易行為非故意為之，是由於疏忽導致，也未發生在公司披露定期報吿的敏感期內，不存在因獲悉內幕信息而交易公司股票的情況，亦不存在利用短線交易謀求利益的目的。
因董事林鏡的配偶在授予登記前6個月內存在賣出公司股份的行為，故林鏡不符合2021年限制性股票激勵計劃的授予條件，公司將按照授予價格回購註銷其已獲授的8.4萬股股權激勵限售股。
公司本次股權激勵限售股授予登記需支出的驗資費用、登記服務費，由林鏡補償給公司，截止公吿發布時，林鏡已向公司支付。
林鏡及其近親屬不具有短線交易的主觀故意，且已深刻認識到該事項的嚴重性。林鏡及其近親屬對本次操作構成的短線交易給公司和市場帶來的不良影響，深表自責，向廣大投資者致以誠摯的歉意，同時承諾將加強學習並自覺遵守相關法律法規，規範本人及近親屬買賣公司股票的行為，及時準確向上市公司吿知相關信息，杜絕此類情況再次發生。
