皇庭國際(000056.SZ):擬預掛牌轉讓融發投資及重慶皇庭各不少於51%股權
格隆匯2月7日丨皇庭國際(000056.SZ)公佈,公司擬在深圳聯合產權交易所預掛牌轉讓公司持有的深圳融發投資有限公司(“融發投資”)及重慶皇庭珠寶廣場有限公司(“重慶皇庭”)各不少於51%股權,並要求摘牌方需清償融發投資、重慶皇庭對皇庭國際及相關方的全部債務。
此次交易構成重大資產重組,但不構成重組上市;因具體受讓方尚未確定,此次交易是否構成關聯交易暫無法確定。此次交易如能順利完成,融發投資、重慶皇庭將不再納入公司合併報表範圍。
