中聯重科(000157.SZ)：擬受讓路暢科技29.99%的股份 後續視情況擬要約收購其不低於18.83%的股份
格隆匯2月7日丨中聯重科(000157.SZ)公佈，2022年2月7日，公司與郭秀梅(作為轉讓方)及朱書成(系轉讓方配偶，與轉讓方共同作為承諾方)簽署《股份轉讓協議》，公司擬受讓郭秀梅持有的深圳市路暢科技股份有限公司(“目標公司”或“路暢科技”)3598.8萬股股份，佔股份轉讓協議簽署日目標公司總股本的29.99%，每股轉讓價格為人民幣21.67元，公司應支付的標的股份轉讓價款總額約人民幣7.80億元。
此次股份轉讓完成後，公司將持有目標公司3598.80萬股股份，佔《股份轉讓協議》簽署日目標公司總股本的29.99%。後續公司將視屆時情況，依據相關法律法規、部門規章、規範性文件之要求向目標公司全體股東發起部分要約，擬收購股份的比例不低於目標公司總股本的18.83%。根據《股份轉讓協議》的約定，承諾方將根據公司的要求積極提供支持和配合(包括但不限於促使目標公司董事會就要約收購出具致全體股東的報吿書並在目標公司董事會上對該議案投贊成票、接受公司發出的要約邀請等)，以確保公司在要約收購完成後持有的目標公司股份比例不少於48.82%。
此次股份轉讓完成後，郭秀梅還將直接持有目標公司4299.969萬股股份(“剩餘股份”)，約佔目標公司總股本的35.83%。2022年2月7日，郭秀梅出具《關於深圳市路暢科技股份有限公司之表決權放棄承諾》，根據該承諾，自該承諾生效之日起，郭秀梅女士自願且在該承諾約定的棄權期限內不可撤銷地放棄所持有的全部剩餘股份，包括該等剩餘股份因目標公司配股、送股、資本公積轉增股本、拆股等情形而增加的股份所享有的表決權、提名和提案權、召集權、參會權、監督建議權以及除收益權和處分權(包括但不限於轉讓、質押等)等財產性權利以外的全部其他權利。
前述交易完成後，公司將成為目標公司的控股股東。
公司擬通過此次交易獲得路暢科技的控制權。通過此次交易，公司將成為路暢科技的控股股東，有助於未來發揮公司與路暢科技的業務協同效應，提升交易雙方的業務拓展能力和競爭實力。
