希慎興業(00014.HK):擬不超30.47億港元投資土瓜灣土地開發項目
格隆匯2月7日丨希慎興業(00014.HK)宣佈,於2022年2月7日,公司及希慎認購人(公司的間接全資附屬公司)與目標公司及其他各方訂立股東協議,認購目標公司1股股份及收購希慎股東貸款。於完成後,希慎認購人將持有目標公司1股股份,佔目標公司經擴大已發行股本的25%。希慎集團對投資事項的最高資本承擔(包括就希慎認購事項及收購希慎股東貸款應付的代價,以及估計希慎認購人或須作出的額外投資資本)約為30.47億港元。
據悉,目標公司已成功投得該土地(一幅稱為九龍內地段第11279號之地段的土地)開發招標項目並已於2021年10月與市建局訂立發展協議。根據發展協議,目標公司已獲授予合約權利,以籌劃及監督該土地開發的設計、規劃、施工、裝修、竣工、營運與市場推廣。該土地位於土瓜灣的庇利街/榮光街,面積約為7,406平方米,且開發項目於竣工後所提供的最大總建築面積將為66,654平方米。位於該土地上的現有建築物及架構物(不包括任何根據相關批地文件須保留的建築物及架構物)將拆卸,並重新開發為住宅單位、商業物業及公共停車場的發展項目。
董事會認為投資事項為公司提供一個適當的投資機會。市建局的庇利街/榮光街的發展項目位於傳統九龍核心住宅區土瓜灣的中心點,近十年來一直積極進行活化。該區與土瓜灣港鐵站的交通往來方便快捷,區內活化動力持續強勁,正凝聚成香港一個新興的商業及住宅中心。董事會認為該投資事項符合希慎集團的住宅發展業務策略。
