赤峯黃金(600988.SH)：全資子公司收購金星資源62%股權完成交割
格隆匯2月7日丨赤峯黃金(600988.SH)公吿稱，公司分別於2021年10月31日、12月27日召開第七屆董事會第四十一次會議、2021年第二次臨時股東大會，審議通過了《關於簽署<安排協議>及其相關協議的議案》等議案，公司擬通過全資子公司赤金國際(香港)有限公司(Chijin International (HK) Limited，簡稱“赤金香港”)以每股3.91美元的價格，以現金方式收購加拿大金星資源有限公司(Golden Star Resources Limited，簡稱“金星資源”)全部已發行和流通的普通股的62%，第三方出資比例為38%，各方根據出資比例獲得相應比例的金星資源股份。
鑑於《安排協議》中約定的監管審批和交割先決條件已全部實現，交易各方於多倫多時間2022年1月28日完成了項目交割。交割完成後，公司全資子公司赤金香港持有金星資源62%股權，第三方科非投資(英屬維爾京羣島)有限公司(KEFEI Investment (BVI) Limited，簡稱“科非投資”)持有金星資源38%股權。截至該公吿發布之日，金星資源股票已在多倫多證券交易所退市，在紐約證券交易所的退市將於當地時間2022年2月7日自動完成，在加納證券交易所的退市將於當地時間2022年2月9日正式完成。
金星資源核心資產為位於加納的Wassa金礦，根據金星資源NI43-101標準技術報吿，截至2020年12月31日，Wassa金礦保有金資源量1172萬盎司(約364.8噸)，平均品位3.53克/噸，其中探明+控制的資源量為353.7萬盎司(約110噸)。交割完成後，公司黃金資源量和產量將顯著增加。原Wassa採礦權租約將於2022年9月到期，2022年1月26日，加納土地和自然資源部簽發新的Wassa採礦權租約，租約有效期至2047年1月25日。
