瘋狂體育(00082.HK)：擬售亞洲銀行股份 所得款項擬用作數字體育娛樂業務、派特別息等等
格隆匯2月3日丨瘋狂體育(00082.HK)公佈，2022年2月2日，公司全資附屬公司Smart Token、Bank of Asia (BVI) Limited(“亞洲銀行”)、其他該等賣方與買方Ammbr Limited訂立總協議，據此：
(i)該等賣方有條件同意出售，而買方則有條件同意促使特殊目的公司購買(分為兩批)，合共137,127,630股現有亞洲銀行股份(其中Smart Token同意出售合共6255.1984萬股)，現金出售價為每股出售股份2美元；
(ii)亞洲銀行有條件同意配發及發行，而買方同意促使特殊目的公司認購(分為三批)，合共3750萬股新亞洲銀行股份，現金總認購價為5600萬美元；及
(iii)買方向該等賣方授出認沽期權，可由各該等賣方各自行使，以於2024年9月14日按認沽期權價每股亞洲銀行股份4.46美元出售該等賣方於出售事項完成後所持有的餘下3349.3783萬股亞洲銀行股份(Smart Token將持有其中1506.7371萬股亞洲銀行股份)予特殊目的公司，並將以買方創立的虛擬資產結付。
出售事項完成後，亞洲銀行將不再被列為公司聯營公司，而於亞洲銀行的餘下權益會被列為公司的其他金融資產。
公吿顯示，集團是中國領先的數字體育娛樂社區運營商。其業務包括開支及運營圍繞體育賽事的網上體育競猜平台、體育知識付費平台、社交互動直播平台、手機遊戲應用程式，以及通過零售渠道在中國提供彩票銷售服務。公司尋求以其體育用户數據庫，利用數字、人工智能及區塊鏈科技，賦能傳統體育賽事。
Smart Token為公司直接全資附屬公司，其主要業務為投資控股。公吿日期，Smart Token持有7761.9355萬股亞洲銀行股份，相當於亞洲銀行全部已發行股份約45.49%。
扣除出售事項的估計開支後，出售事項的現金所得款項淨額將約1.16億美元(相當於約港幣9.05億元)。待出售事項達至完成後，現時擬將出售事項所得款項將用於發展其數字體育娛樂業務、戰略投資、集團的一般營運資金，以及派發特別股息。所得款項的擬議用途須視乎實際情況及在擬議用途的確切詳情獲提呈審議時董事會的決定而定。
出售事項完成後，集團對亞洲銀行不再具有重大影響力，而其於亞洲銀行的投資將轉列為其他金融資產。以亞洲銀行於2021年12月31日的未經審核綜合資產負債表為基準，並使用於2021年12月31日的匯率1美元兑港幣7.8元，預期出售事項將導致集團綜合財務報表根據香港財務報吿準則確認出售一間聯營公司的收益約港幣11.1億元。上述數據僅供參考。將於集團綜合財務報表上確認出售事項利潤或虧損的實際金額將以適用於出售事項所得款項淨額的匯率及亞洲銀行資產淨值於出售事項交割當日的賬面值為基準，因此或會與上述結果不同。
