格隆匯1月31日丨匯通達網絡(09878.HK)發佈公吿，公司擬全球發售5160.62萬股股份，其中公開發售股份516.07萬股，國際發售股份4644.55萬股，另有15%超額配股權；2022年1月31日至2月10日招股，預期定價日為2月11日；發售價每股發售股份43.00-48.00港元，每手買賣單位100股，入場費約4848港元；花旗、中金公司及華興資本為聯席保薦人；預期股份將於2022年2月18日於聯交所主板掛牌上市。
公司是一家快速成長的致力於服務中國零售行業企業客户的交易及服務平台，並致力於為中國的下沉市場提供優質商品及服務。根據弗若斯特沙利文報吿，中國下沉零售市場涵蓋中國所有鄉鎮農村及非一、二線城市的郊縣地區的零售市場。根據弗若斯特沙利文報吿，中國下沉市場及中國整體市場的零售行業仍然高度分散且數字化滲透率較低，在中國服務零售行業企業客户的交易平台中，分別按照2020年面向下沉市場及中國整體市場的交易業務規模計算，公司分別排名第一及第三，同時於各市場所佔市場份額均低於1%。
公司已訂立基石投資協議，據此，基石投資者已同意以發售價認購合共1.50億美元(或約11.683億港元)可購買的發售股份數目。假設發售價為45.50港元(即發售價範圍的中位數)，基石投資者將認購的發售股份總數將為2567.7萬股。基石投資者包括創維海外投資控股有限公司、Golden Feather Corporation(由金螳螂(002081.SZ))創始人及控股股東朱興良全資及實益擁有)、Windfall T&L SPC、海瀾集團有限公司、SensePower Management Limited(商湯(00020.HK)的間接全資附屬公司)、及景林資產管理香港有限公司。
假設並無行使超額配股權，並假設發售價每股45.50港元(即指示性發售價範圍中位數)，估計將收到全球發售所得款項淨額約22.256億港元。公司擬將全球發售所得款項淨額約30%用於加強與現有客户的關係並進一步擴大公司的客户羣；約25%用於優化公司供應鏈的能力和效率；約20%用於增加對公司平台的IT基礎設施的投資以及增強門店SaaS+業務變現能力；約15%用於選擇性地尋求與下列參與者的戰略合作、投資或收購；及約10%將用作營運資金。
