中國海外宏洋集團(00081.HK)擬10億元收購三家公司股權
格隆匯1月28日丨中國海外宏洋集團(00081.HK)宣佈,於2022年1月28日,買方(公司的間接全資附屬公司)訂立以下買賣協議:
1. 與賣方A(獨立第三方)訂立買賣協議A,據此,買方有條件同意購買,而賣方A有條件同意出售股權A及股東貸款A,總代價為人民幣423,386,052.86元(可予調整);
2. 與賣方B(獨立第三方)訂立買賣協議B,據此,買方有條件同意購買,而賣方B有條件同意出售股權B及股東貸款B,總代價為人民幣271,401,080.58元(可予調整);及
3. 與賣方B(獨立第三方)訂立買賣協議C,據此,買方有條件同意購買,而賣方B有條件同意出售股權C及股東貸款C,總代價為人民幣305,212,866.56元(可予調整)。
於收購事項完成後,買方將分別持有目標公司A、目標公司B及目標公司C全部股權的100%、66%及67%,而目標公司B將成為公司的間接非全資附屬公司,因此,所有目標公司的財務業績將併入集團的賬目內。
目標公司A的主要資產為物業A,該物業位於中國浙江省義烏市稠江街道、貝村路與文政東路交叉口東南側。物業A總建築面積約138,442平方米,地盤面積約43,820平方米,擬發展為商住物業。它目前正在興建中,其中商住物業的預售預計將於2022年3月開始,並預計將於2023年10月竣工。
目標公司B的主要資產為物業B,該物業位於中國江蘇省徐州市經開區城東大道南、鯤鵬路東。物業B總建築面積約173,651平方米,地盤面積約53,949平方米,擬發展為住宅物業。它目前正在興建中,其中住宅物業的預售預計將於2022年3月開始,並預計將於2024年4月竣工。
目標公司C的主要資產為物業C,該物業位於中國江蘇省徐州市銅山區徐蕭公路北側、泉潤公園東側。物業C總建築面積約180,466平方米,地盤面積約61,002平方米,擬發展為住宅物業。它目前正在興建中,其中住宅物業的預售已於2022年1月開始,並預計將於2023年底竣工。
