漢得信息(300170.SZ)：甄知科技擬引入經緯、藍湖資本、BV等等投資者
格隆匯1月27日丨漢得信息(300170.SZ)公佈，公司2022年1月27日召開的第四屆董事會第三十四次(臨時)會議審議通過了《關於子公司上海甄知科技有限公司引入投資者的議案》。上海甄知科技有限公司(“甄知科技”)擬由 MATRIX PARTNERS CHINA VI HONG KONG LIMITED (“經緯”)、Blue Lake Capital III Investment (HK) Limited (“Blue Lake”)、上海藍三木易私募基金合夥企業(有限合夥)(“藍三木易”，與Blue Lake合稱為“藍湖資本”)、BV Fund II L.P. (“BV”)、杭州信公小安信息科技有限公司(“信公小安”)及上海昀和信息技術服務有限公司(“上海昀和”，與經緯、藍湖資本、BV、信公小安單獨或合稱為“投資方”)共同出資7000萬元或等值美金進行增資擴股，公司擬放棄對甄知科技本次增資擴股的優先認購權。
此次甄知科技增資擴股交割完成後，甄知科技的註冊資本為人民幣15,384,615元人民幣，其股權結構如下(最後以實際工商登記所載為準)：
此次交易前，公司持有甄知科技60%股權，甄知科技增資擴股交割完成後，公司持有的甄知科技股權預計將下降至39%(最後以實際工商登記所載為準)，公司對甄知科技不再形成控制，甄知科技不再納入公司合併報表範圍。
漢得信息擬放棄對甄知科技本次增資擴股的優先認購權符合有關法律法規的規定，有利於促進公司在創新業務方向上的拓展，提升公司長期的核心競爭力。
甄知科技旨在依託於公司豐富的客户資源、銷售渠道，以及實施服務經驗，定位於大中型企業的ITSM平台，為企業提供全面的IT服務管理、IT資產管理、IT運營管理、IT業務管理，力爭成為業內領先的IT服務管理提供商。目前，甄知科技仍處於業務開拓期，仍需加強研發，擴大市場規模來提升產品競爭力，因此仍存在較大的潛在風險和一定的不確定性，市場推廣的資金需求和創新人才團隊的建設和完善是亟待解決的現實問題。此次投資方經緯、藍湖等的引入，將為甄知科技的發展注入新的動力引擎，使得甄知科技能夠擁有更充足的資金加速產品研發、進行優秀人才引進、市場推廣；通過與投資方緊密的合作，能夠為甄知科技帶來更多的銷售渠道、潛在客户、戰略合作伙伴的引進以及其他各方面的支持。
