華信金融投資(01520.HK)擬4400萬港元收購成都創夢100%股權
格隆匯1月25日丨華信金融投資(01520.HK)公吿，於2022年1月25日，公司、賣方Dreamtoys Ltd及擔保人訂立收購協議，據此，公司有條件同意收購而賣方有條件同意出售目標股份，相當於目標公司Dreamtoys Inc全部已發行股本(而目標公司透過其全資附屬公司持有成都創夢100%的股權)。
收購事項初始代價為4400萬港元(可予調整)，當中440萬港元由公司以現金支付，而餘下代價將根據公司於股東特別大會上尋求特別授權以發行價配發及發行代價股份支付。
成都創夢為目標公司的主要營運附屬公司，主要從事潮流文化產品研發、運營及推廣。成都創夢設有一支由設計藝術家組成團隊，專責設計單個或一系列角色，旨在用於製作融合流行文化及時尚內容時尚文化產品，其涵蓋多種產品類別，包括(其中包括)盲盒、手辦、GK手辦及以成人拼裝玩具。自主開發的角色均已獲授成都創夢專有IP授權。
成都創夢一直與一名世界知名的互聯網及移動增值服務供應商的旗下游戲部門("遊戲夥伴")合作。由於遊戲夥伴擁有大量優質IP資源、領先的娛樂內容及用户羣，成都創夢希望通過進一步挖掘授權IP的商業價值，與遊戲夥伴形成協同效應。遊戲夥伴已將旗下最着名的遊戲角色的IP授權予成都創夢，讓成都創夢能夠開發出以IP元素為基礎的時尚文化產品。開發的產品由外包工廠生產，最終在遊戲夥伴的遊戲商店在在線及不同零售商店網絡銷售給客户。設計及產品發佈活動均會每月舉辦，涉及內容推廣、在社區中建立品牌聲譽及成熟的市場策略。
目標集團亦將具有國際視野的融合創新精神注入產品設計開發，結合區塊鏈技術、近場感應技術、數字交互等新型數字化模塊，打造與數字內容互通的元宇宙IP生態。
為實現集團的戰略目標，抓緊年輕一代有關開發潮流文化服飾及配飾相關產品方面的市場機遇，集團最近委任了周怡冰作為集團的首席創意官及李陽為執行董事及董事會主席，彼等均於時尚服飾、潮流品牌推廣、信息技術以及其他業務擁有豐富的行業經驗。
集團已與成都創夢訂立授權協議，據此成都創夢向本集團授出可在全球使用四名動漫角色("IP角色")的獨家使用權，以發展、生產及銷售有關IP角色的服飾，藉此增加本集團的產品種類，並在該等IP角色的產品推出時善用該等IP角色的與日俱增的受歡迎程度。
成都創夢為目標公司的主要營運附屬公司，擁有多項可用於製作潮流文化產品的專有及獲授權IP，而成都創夢亦已與部分擁有熱門遊戲及龐大用户羣的知名遊戲平台建立了密切的合作關係。
收購事項完成後，集團一方面可涉足時尚文化產品行業，將成都創夢的IP應用於虛擬及實體時尚文化產品的創作，更可涉足時尚文化產品的零售業務。另一方面，其更可享有成都創夢持有的多項專有及獲授權IP，這可與本集團的服裝業務產生協同效應，可利用成都創夢持有的IP創造合作產品。
