國電科環(01296.HK)獲國家能源集團溢價約47.95%私有化 明日復牌
格隆匯1月24日丨國電科環(01296.HK)公吿，於2022年1月24日，要約人北京春暉青雲科技環保有限公司及公司訂立合併協議，據此，要約人及公司將根據合併協議的條款及條件（包括前提條件及該等條件）實施合併。合併後，公司將根據中國公司法及其他適用中國法律被要約人吸收合併。
根據合併協議，待前提條件及該等條件達成（或獲豁免，倘適用）後，要約人將就註銷H股而向H股股東支付每股H股1.08港元的註銷價，較1月17日收市價每股H股份約0.73港元溢價約47.95%。
合併的理由及裨益包括：(1)公司已喪失作為上市平台的優勢，股權融資能力有限。(2)受下游客户燃煤發電裝機容量增速放緩，公司業績增速放緩。受中國碳達峯、碳中和目標和發展戰略的影響，燃煤發電裝機容量增速明顯放緩，根據中國電力企業聯合會的資料，十三五時期全國發電裝機容量年均增長7.6%，其中燃煤發電裝機容量年均增速為3.7%。公司作為中國最大的燃煤電廠技術及集成系統解決方案供應商之一，經營業績增長相應放緩。為保持核心競爭力，本公司需統一梳理戰略和業務方向，探索新的發展機會和長期增長策略。該舉措在短期內可能造成公司財務表現的不確定性，從而給H股股東造成損失。合併實施後，公司可以更加靈活地制定長期戰略，避免因作為上市公司而承受的市場預期壓力及股價波動風險。(3)H股退市為H股股東提供了絕佳的退市機會，可以溢價出售流動性相對較低的H股。
據悉，要約人為於2022年1月13日在中國註冊成立的有限責任公司。要約人由國家能源集團因合併目的而新成立，主要從事大氣污染治理、水污染治理、新能源項目及裝置技術開發、轉讓與服務、工業資訊化技術開發、轉讓與服務、經貿諮詢以及物業管理業務。要約人由國家能源集團全資擁有，而國家能源集團由國資委控制。
此外，公司已向聯交所申請批准H股於2022年1月25日上午9時正起恢復買賣。
