隆平高科(000998.SZ)：擬以6297.6萬元受讓杭州瑞豐4.1%股權
格隆匯1月24日丨隆平高科(000998.SZ)公佈，2022年1月24日，公司第八屆董事會第十三次(臨時)會議審議通過了《關於受讓杭州瑞豐生物科技有限公司部分股權暨關聯交易的議案》，同意公司以6297.6萬元受讓誠通中信農業結構調整投資基金(有限合夥)持有的4.1%的杭州瑞豐生物科技有限公司股權(對應認繳註冊資本126.64萬元，實繳註冊資本126.64萬元)，並放棄餘下股轉交易的優先受讓權及增資交易的優先認繳出資權。
公司參股公司杭州瑞豐生物科技有限公司(“杭州瑞豐”)成立於2009年12月28日，註冊資本30,888,944元，主要從事種業轉基因技術的研發。公司現持有杭州瑞豐22.9704%股權，對應註冊資本7,095,300元。
經協商，隆平高科以62,976,000元受讓誠通中信農業結構調整投資基金(有限合夥)(“中信農業基金”)持有的4.1%的杭州瑞豐股權(對應杭州瑞豐認繳註冊資本1,266,447元，實繳註冊資本1,266,447元)。熊嫣以59,904,000元受讓中信農業基金持有的3.9%的杭州瑞豐股權(對應杭州瑞豐認繳註冊資本1,204,669元，實繳註冊資本1,204,669元)。
中央企業鄉村產業投資基金股份有限公司以47,650,560元受讓中信農業基金持有的3.1023%的杭州瑞豐股權(對應杭州瑞豐認繳註冊資本958,252元，實繳註冊資本958,252元)，以38,400,000元受讓艾格一號(廈門)股權投資基金合夥企業(有限合夥)持有的2.5%的杭州瑞豐股權(對應杭州瑞豐認繳註冊資本772,224元，實繳註冊資本772,224元)，並以46,080,000元受讓蔣珊珊持有的3%的杭州瑞豐股權(對應杭州瑞豐認繳註冊資本926,668元，實繳註冊資本926,668元)。前述股權轉讓合稱“股轉交易”。公司放棄前述央企基金、熊嫣受讓杭州瑞豐部分股權的優先購買權。
本次交易完成後，杭州瑞豐註冊資本由30,888,944元變更為36,048,691元，公司對杭州瑞豐的持股比例由22.9704%變更為23.1957%，本次交易不會導致公司合併範圍發生變化。
