格隆匯1月20日丨傑克股份(603337.SH)公佈2022年股票期權與限制性股票激勵計劃(草案)，該激勵計劃擬向激勵對象授予權益總計950.00萬份，涉及的標的股票種類為人民幣A股普通股股票，約佔該激勵計劃草案公吿日公司股本總額44,586.852萬股的2.13%。
其中首次授予771.4萬份，約佔該激勵計劃公吿日公司股本總額的1.73%，約佔該激勵計劃擬授予權益總數的81.20%；預留授予178.60萬份，約佔該激勵計劃公吿日公司股本總額的0.40%，約佔該激勵計劃擬授予權益總數的18.80%。預留部分未超過本次擬授予權益總額的20%。
(一)股票期權激勵計劃：公司擬向激勵對象授予475.00萬份股票期權，涉及的標的股票種類為人民幣A股普通股股票，約佔該激勵計劃草案公吿日公司股本總額的1.07%。其中首次授予385.70萬份股票期權，預留授予89.30萬份股票期權。激勵對象獲授的每份股票期權在滿足行權條件的情況下，擁有在有效期內以行權價格購買1股公司股票的權利。
(二)限制性股票激勵計劃：公司擬向激勵對象授予475.00萬股限制性股票，涉及的標的股票種類為人民幣A股普通股股票，約佔該激勵計劃草案公吿日公司股本總額的1.07%，其中首次授予385.70萬股限制性股票，預留授予89.30萬股限制性股票。
該激勵計劃首次授予的股票期權的行權價格為18.17元/份，限制性股票的授予價格為12.12元/股。
該激勵計劃首次授予的激勵對象總人數為219人，為公司公吿該激勵計劃草案時在公司任職的董事、高級管理人員、核心管理人員和專業人才。
該激勵計劃有效期為股票期權首次授予之日起和限制性股票首次授予登記完成之日起至所有股票期權行權/註銷和限制性股票解除限售/回購註銷完畢之日止，最長不超過60個月。
