雪峯科技(603227.SH)：擬購買玉象胡楊100%股權 注入天然氣化工循環經濟產業鏈模式、明起復牌
格隆匯1月17日丨雪峯科技(603227.SH)公佈發行股份及支付現金購買資產並募集配套資金暨關聯交易預案，上市公司擬通過發行股份及支付現金的方式，購買新疆農牧業投資(集團)有限責任公司、四川金象賽瑞化工股份有限公司、合肥五豐投資有限公司、成都國衡壹號投資合夥企業(有限合夥)、阿克蘇投資建設集團有限公司、沙雅瑞楊投資有限合夥企業、眉山市金燁企業管理策劃中心(有限合夥)、阿克蘇鑫發礦業有限責任公司、阿拉爾統眾國有資產經營有限責任公司、紹興市三葉外貿有限公司、丁玲、新疆沙雅城市建設投資有限公司、新疆金鼎重工股份有限公司、任虎、朱學前、周駿合計持有的玉象胡楊100.00%股權。
本次交易完成後，玉象胡楊將成為上市公司的全資子公司。
本次發行股份購買資產的股份價格為5.54元/股，不低於定價基準日前120個交易日股票交易均價的90%。上市公司擬向不超過35名特定投資者非公開發行股份募集配套資金。本次募集配套資金規模預計不超過90,000萬元，具體金額將在重組報吿書中予以確定。
擬發行的股份數量不超過本次重組前公司總股本的30%，募集配套資金總額不超過本次交易擬以發行股份購買資產交易價格的100%，最終發行數量以中國證監會核准的發行數量為準。
本次募集配套資金扣除發行費用後，擬用於支付現金對價、支付交易税費與中介費用等。現金對價的具體金額由最終交易作價、股份與現金的支付比例確定。
本次交易擬購買的標的公司玉象胡楊主要從事三聚氰胺、硝酸銨、硝基複合肥等化工原料、化肥的生產銷售，系西北地區三聚氰胺、複合肥生產龍頭企業。玉象胡楊主要產品之一硝酸銨，繫上市公司重要原材料。
本次交易前，上市公司主要從事民用爆炸物品製造與工程爆破服務業務。作為區域內民爆龍頭企業，公司業務涵蓋民用爆炸物品研發、生產、銷售、運輸等各環節，且具備爆破方案設計、爆破工程監理、礦山爆破一體化解決方案規劃實施等專業化服務能力。
本次交易完成後，上市公司通過注入天然氣化工循環經濟產業鏈模式的三聚氰胺、硝酸銨等業務，藉助上市平台整合化工產業及民爆上游原料業務，將有效拓寬其業務範圍，從單一民爆業務拓寬至“民爆+化工”雙主業，從而實現業務的快速擴張，打造新的盈利增長點，增強抗風險能力，提升股東回報。
此外，根據相關規定，經公司向上海證券交易所申請，公司股票將於2022年1月18日(星期二)開市起復牌。
