亞信科技(01675.HK)擬5.12億元收購艾瑞諮詢94.23%股權
格隆匯1月14日丨亞信科技(01675.HK)宣佈，於2022年1月14日，北京亞信(公司的間接全資附屬公司)與賣方訂立協議，據此，北京亞信已同意收購艾瑞諮詢的約94.23%股權，總代價為人民幣51178.04萬元。
據悉，艾瑞諮詢由楊偉慶於2002年11月在中國創立，是中國新經濟與產業數字化洞察研究諮詢領域的領先品牌，主要從事行業研究、用户研究、數據洞察、戰略與數字化諮詢規劃等專業服務，在新經濟與數字戰略諮詢服務、全域用户洞察分析SaaS工具、大小數據結合的用户洞察及數字化技術解決方案等方面具備行業領先優勢。多年來艾瑞諮詢在科技、媒體和通信、新經濟、消費等領域累計服務客户超過2,000家。於收購事項首期股份轉讓完成前，艾瑞諮詢由賣方擁有約94.23%權益及由目標集團員工持股平台擁有約5.77%權益。
隨着艾瑞諮詢品牌影響力、專業服務能力及客户解決方案的不斷提升，與客户的合作深度持續快速推進，服務客户應用場景及價值持續增加。2021年艾瑞諮詢業務拓展加速，盈利能力亦顯著提升。2021年上半年收入較上年同比增長約39.72%，除税後利潤較上年同期增加約人民幣860萬元。
公吿稱，當前社會數字化進程不斷加快，數據信息服務邊界進一步延伸。集團持續加大DSaaS業務拓展力度，運用"解決方案+場景化SaaS應用+運營平台+專家服務"的運營模式，對多維數據資源進行深入挖掘，幫助生態合作方進行數據分析，並提供基於SaaS的行業解決方案，助力多個重點行業客户感知提升、客户體驗改善、智慧運營、價值提升、市場增長。
艾瑞諮詢深耕商業決策服務場景，以技術和數據為驅動，為客户提供專業的行業研究、用户研究、數據洞察、戰略與數字化諮詢規劃等專業服務，助力客户提升認知水平、盈利能力和綜合競爭力。收購事項可極大增強集團於DSaaS數字化運營及數智化轉型業務的能力，將集團數字化運營業務的競爭優勢與艾瑞諮詢在互聯網、零售等行業的洞察以及多行業應用場景結合起來，以產生更大商業價值，快速提升集團在通信運營商之外市場的競爭力；同時將集團的業務能力從產品研發、解決方案、系統集成、交付實施、數智運營向前延伸至行業研究、用户研究、數據洞察、戰略與數字化諮詢規劃，形成對客户服務的閉環，顯著增強行業影響力，成為數智產業的全棧能力供應商和領先企業。透過收購事項，將為集團未來業務拓展和品牌提升均帶來顯著價值回報。此舉與集團的"一鞏固、三發展"的戰略目標完全契合。
