格隆匯1月12日丨英搏爾(300681.SZ)公佈，公司副總經理鄭小梅的配偶宋景永於股票期權行權後六個月內賣出公司股票，該行為構成短線交易。公司知悉後第一時間對該事項進行了核查，現將相關情況公吿如下：

注：32.78 元/股為股票期權行權價格，宋景永本次買入股票成本為46.78元/股，計算方法：每股股票成本=行權價格+(行權個人所得税+佣金)/行權數量。
按照相關規定，宋景永作為公司副總經理鄭小梅的配偶，其上述交易行為構成將所持公司股票在買入後六個月內賣出的短線交易行為。
截止公吿日，宋景永先生持有公司股票6600股，本次短線交易產生的收益按以下方式計算：【短線交易收益=(賣出均價-買入成本)*構成短線交易股份數量-相關税費(印花税、過户費及佣金)】，即(106.10-46.78)元/股*3000股-334.22 元=177,625.78元。
公司董事會將於公吿後的五個工作日內收回宋景永本次短線交易產生的收益177,625.78元。
公司副總經理鄭小梅和配偶宋景永均深刻意識到該事項的嚴重性，積極配合核查並及時進行了糾正，就上述事項向公司董事會和廣大投資者致以誠摯的歉意，同時承諾將加強學習並自覺遵守《證券法》等相關規定，杜絕此類情況再次發生。
結合本次公司高級管理人員親屬在股票期權激勵計劃行權中發生的短線交易案例，公司及時組織全體董事、監事、高級管理人員、持有公司5%以上股份的股東等，進行股票合規交易專項培訓，加強全體董事、監事、高級管理人員、持有公司5%以上股份的股東對《證券法》、《上市公司股東、董監高減持股份的若干規定》、《深圳證券交易所創業板股票上市規則》、《深圳證券交易所創業板上市公司規範運作指引》、《深圳證券交易所上市公司股東及董事、監事、高級管理人員減持股份實施細則》等有關法律、法規及規範性文件的學習，充分認識短線交易和內幕交易的不良影響，完善短線交易相關制度管理，避免此類情況再次發生。
