中國動力(600482.SH)：擬與關聯方以柴油機動力業務共同對子公司增資等 規範柴油機動力業務同業競爭
格隆匯1月11日丨中國動力(600482.SH)公佈，公司擬與中船工業集團、中國船舶通過以各自持有的柴油機動力業務相關公司股權共同對公司全資子公司增資並由該子公司向中船重工集團支付現金購買資產的方式，規範柴油機動力業務同業競爭。
此次交易前，中國動力先以適量現金設立全資子公司。
此次交易中，中國動力以持有的中國船柴100%股權、陝柴重工100%股權、河柴重工98.26%股權對新設子公司增資；中船工業集團以持有的中船動力集團36.23%股權對新設子公司增資；中國船舶以持有的中船動力集團63.77%股權對新設子公司增資。新設子公司以現金收購中船重工集團持有的河柴重工1.74%股權。
此次交易完成後，新設子公司成為從事柴油機動力業務的合資公司，由中國動力持有合資公司控股權，中船工業集團、中國船舶持有合資公司參股權。合資公司持有中國船柴、陝柴重工、河柴重工、中船動力集團100%股權。
合資公司的註冊資本和合資各方具體出資比例將以合資各方用於增資的標的資產最終經備案的評估值為基礎由合資各方協商確定。中船重工集團持有的河柴重工1.74%股權的交易價格以最終經備案的評估值為基礎由交易各方協商確定。
此次交易完成後，上市公司主營業務未發生變化，涵蓋燃氣動力、蒸汽動力、柴油機動力、綜合電力、化學動力、熱氣機動力、核動力(設備)等七大動力業務及機電配套業務，為集高端動力裝備研發、製造、系統集成、銷售及服務於一體的一站式動力需求解決方案供應商。
通過此次交易，中國動力、中船工業集團及中國船舶共同投資合資公司開展柴油機動力業務；交易完成後中國動力將持有合資公司控股權，進一步明確了中國動力作為中國船舶集團下屬船舶動力業務上市公司的定位，鞏固中國動力在國內艦船柴油機動力業務領域的龍頭地位。
此次交易完成後，中國船舶集團下屬柴油機動力業務將進一步整合，推動柴油機動力業務統籌協同發展，有利於促進公司柴油機動力業務整體能力提升。
