綠城管理控股(09979.HK)擬收購浙江熵裏建設60%股權,資本代建佈局再下一站
1月11日,綠城管理控股(09979.HK)發佈有關收購目標公司股權的須予披露交易公吿。
於2022年1月11日,綠城管理控股的間接全資附屬公司綠城管理與目標公司浙江熵裏建設管理有限公司、轉讓人(徐雄翔及蔣陽俊)及擔保人藍城控股有限公司訂立股權買賣協議。根據股權買賣協議,綠城管理同意購買,而轉讓人同意出售浙江熵裏建設管理有限公司60%股權及當中的所有權利及權益。
綠城管理根據股權買賣協議應付的代價包括固定代價人民幣4億元及根據收購事項完成後三年期間浙江熵裏建設管理有限公司新增代建項目的未來可收取服務費用釐定的經調整增量代價。經調整增量代價的最高金額為人民幣2億元。
收購事項完成後,浙江熵裏建設管理有限公司將由綠城管理持有60%,併成為綠城管理控股的附屬公司。轉讓人及擔保人共同向綠城管理保證,收購事項完成後,綠城管理從浙江熵裏建設管理有限公司分配取得的2022年、2023年及2024年的除税後利潤將分別不低於人民幣1.2億元、人民幣1.3億元及人民幣1.5億元。
資料顯示,藍城控股為於中國註冊成立的有限責任公司,由寧波恆裏鑽股權投資合夥企業(有限合夥)(由徐先生控制的實體)持有99.5% 的股權和徐先生持有 0.5% 的股權。
徐先生擁有復旦大學工商碩士學歷,負責目標公司戰略發展、整體運營及管理;自 2012 年起自主經營房地產開發、代建管理公司。徐先生任杭州衢州商會常務副會長。徐先生 擁有豐富的產品設計營造及房地產開發管理經驗。
公吿表示,收購事項將使集團獲得目標公司的控股權、管理團隊及代建業務。收購事項能夠使公司整合代建行業優秀團隊力量,助力推動集團核心能力建設,穩固集團於代建行業領先的管理水平。同時,股權買賣協議協定,徐雄翔或彼本人擁有股權權益的公司不得再從事與集團同業競爭的業務。收購事項可以迅速提升集團規模及公司競爭力,在未來可持續為集團帶來業務及優秀團隊力量,助力集團的長期穩定發展,穩固集團的行業龍頭地位。
