比高集團(08220.HK)：就增強現實數字真人角色扮演遊戲業務合作訂立框架協議
格隆匯1月10日丨比高集團(08220.HK)宣佈，於2021年12月23日，公司與廣州玖的文化科技有限公司("業務夥伴")訂立框架協議，據此訂約雙方同意進行真誠磋商，以就成立一間合營公司以開展有關發展增強現實數字真人角色扮演遊戲("LARP")項目的業務合作訂立具有法律約束力的正式協議。
據框架協議，公司與業務夥伴協定將於中國廣州市成立一間合營公司，其將由公司及業務夥伴分別擁有51%及49%，以及合營公司的董事會將擁有3名董事，其中2名將由公司提名以及1名將由業務夥伴提名。公司亦將有權提名合營公司的首席財務官及法定代表人，而業務夥伴將有權提名合營公司的首席執行官。
根據框架協議，已擬定公司將負責下列事項：1.促進向合營公司授權公司或其聯營公司所擁有之相關電影之知識產權("IP")，以製作LARP項目以及就彼等於該等LARP項目中創作和開發相關劇本及內容方面之應用提供意見、開發相關增強現實內容、設計及開發有關授權產品等；2.通過對相關IP的使用提供意見參與劇本的編寫、製作及實施；及3.透過各種渠道和媒體推廣相關產品及IP。
亦已擬定業務夥伴將負責下列事項：1.負責合營公司的日常營運；2.為LARP項目的劇本及內容，以及製作和開發相關三維全息圖、虛擬現實及混合現實內容招募合適的製作團隊；3.推動合營公司的產品銷售以及在業務夥伴運營的著名LARP平台"玖號房"為客户安裝SaaS應用程序；及4.發佈及推廣LARP項目的劇本內容。
過去一年，公司一直利用其於電影製作、特許權及衍生作品權、跨界市場推廣及提供互動內容業務的經驗及知識開拓商機，並認為該等商業經驗以及電影IP將是開發各種新型娛樂形式之寶貴資源，從而把握中國不斷變化之娛樂及遊戲消費市場。另一方面，近年來LARP遊戲一直迅速發展，已成為中國消費者，尤其是年輕一代最受歡迎的娛樂方式之一。業務夥伴是一家經驗豐富的LARP項目開發者及╱或其聯營公司運行著名的LARP平台「玖號房」，它是中國較為完善的LARP遊戲系統。公司認為，與業務夥伴的潛在合作將讓訂約各方的優勢產生協同效應，並將是公司進軍不斷增長的LARP市場以及熱門增強現實與虛擬現實應用業務的機會。
