鹽湖股份(000792.SZ)：擬以債轉股及現金出資增加特立鎂、天石礦業註冊資本
格隆匯1月7日丨鹽湖股份(000792.SZ)公佈，公司為改善全資子公司青海鹽湖特立鎂有限公司(“特立鎂”)和青海鹽湖天石礦業有限公司(“天石礦業”)的財務狀況，優化特立鎂和天石礦業的資產負債結構，促進其健康持續發展，公司擬通過債轉股及現金出資方式增加兩家子公司註冊資本。
特立鎂由於遠離客户市場，信息獲取滯後、機加工等後製程工序配套缺乏、專業研發人員緊缺、物流運輸成本高等原因，導致自身研發能力不足，生產訂單不足，週轉流動資金跟不上，造成特立鎂連續虧損。天石礦業項目自建成投產後，由於公司原金屬鎂一體化項目對石灰石的需求不足，天石礦業市場業務開拓進展緩慢，設計產能未能達產達標。同時受制於產品銷售定價機制及結算週期的影響，週轉資金不足等影響，天石礦業營業收入增長緩慢，生產成本較高，連續虧損。為優化上述兩家子公司資本結構，降低財務費用，使其儘快實現扭虧為盈，進入可持續的良性發展，公司擬通過債轉股及現金增資的方式，降低其資產負債率。
本次對特立鎂增資，其中：以貨幣資金5000萬元增加投資，同時以截至2020年9月30日鹽湖股份擁有的對特立鎂的債權31078.18萬元中的20000萬元對特立鎂實施債轉股。經測算，以截止2021年9月30日財務狀況經調整後，資產總額為24075.32萬元，負債總額為13417.18萬元，所有者權益為10658.14萬元，資產負債率由175.18%降為55.73%。
以貨幣資金投資5000萬元，是為解決特立鎂在安徽含山擬建設項目的資金來源。
本次對天石礦業增資，以截至2020年9月30日鹽湖股份擁有的對天石礦業的債權33117.37萬元中的25000萬元對天石礦業實施債轉股。經測算，以截止2021年9月30日財務狀況經調整後，資產總額為31559萬元，負債總額為16416.11萬元，所有者權益為15142.89萬元，資產負債率由131.23%降為52.02%。
