*ST商城(600306.SH)：公司實控人將變更為王強
格隆匯1月6日丨*ST商城(600306.SH)公佈，2021年12月6日，經中國證監會“證監許可[2021]3835號”文核准，公司於2021年12月實施了非公開發行股票方案。本次非公開發行向1名認購對象發行了人民幣普通股(A股)5343.6萬股新股，發行價格為每股6.55元，募集資金總額約人民幣3.50億元，扣除發行費用後公司本次募集資金淨額約人民幣3.44億元。上述非公開發行的人民幣普通股(A股)5343.6萬股已於2022年1月5日在中國證券登記結算有限責任公司上海分公司辦理完畢股權登記手續，此次發行新增股份為有限售條件流通股，發行對象認購的股份自發行結束之日起36個月不得轉讓。
此次非公開發行股票完成後，公司總股本由非公開發行前的178,138,918股增加到231,574,918股。公司控股股東中兆投資所持有的公司股份數量4314.1624萬股不變，持股比例由發行前的24.22%被動稀釋至18.63%，變動超過5%；深圳市領先半導體產投有限公司(“深圳領先半導體”)認購此次非公開發行股票5343.6萬股，持股比例由發行前的0%增至23.08%，公司控股股東變更為深圳領先半導體。公司股東深圳市旅遊(集團)股份有限公司所持有的公司股份數量1082.0195萬股不變，持股比例由發行前的6.07%被動稀釋至4.67%，持股比例降至5%以下。此次非公開發行股票的認購方深圳領先半導體為王強控制的公司。
此次非公開發行股票前，中兆投資持有公司股份比例為24.22%，公司實際控制人為黃茂如；王強及其一致行動人之一深圳市旅遊(集團)股份有限公司、一致行動人之二深圳市深之旅投資管理有限公司(王強父親王立正實際控制的企業，且為深圳市旅遊(集團)股份有限公司的控股股東)、一致行動人之三深圳市西麗湖度假村有限公司(深圳市旅遊(集團)股份有限公司的全資子公司)合計持有公司3421.1649萬股股份，佔公司股份比例為19.21%。
此次非公開發行股票完成後，受王強控制的深圳領先半導體、王強及其一致行動人合計持有公司8764.7649萬股股份，佔公司此次非公開發行後總股本的比例為37.85%，公司實際控制人將變更為王強。
