NOMAD TECH(08645.HK)獲執行董事餘德才折讓約64.91%提收購要約 明日復牌
格隆匯1月4日丨NOMAD TECH(08645.HK)公吿，於2021年12月24日，賣方Advantage Sail Limited與要約人Thrive Harvest Limited訂立買賣協議。據此，要約人同意收購待售股份（即3.04億股股份，相當於本聯合公吿日期公司全部已發行股本約50.63%），代價為6075萬港元（相當於每股待售股份0.20港元）。完成於完成日期（即2021年12月24日）簽署買賣協議後即時作實。
緊隨完成後及於本聯合公吿日期，要約人、餘先生及與彼等一致行動的任何人士合共擁有4.16億股股份權益，相當於公司全部已發行股本約69.38%。因此，於完成後，要約人須根據收購守則第26.1條就全部已發行股份作出要約。每股要約股份現金0.20港元，較股份於最後交易日在聯交所所報收市價每股0.57港元折讓約64.91%。
要約人及匯通分別於2011年2月1日及2011年12月2日在英屬處女羣島註冊成立為有限公司，且主要從事投資控股業務。於本聯合公吿日期，除(i)匯通已擁有的1.125億股股份及(ii)要約人於完成後擁有的3.04億股待售股份外，匯通及要約人概無擁有其他重大資產。
餘德才先生為要約人及匯通各自的唯一董事，併為要約人及匯通各自全部已發行股本的擁有人。餘先生自2021年7月21日起為執行董事，於技術、媒體及電訊業投資、企業策略管理、項目管理、投資業務及基金管理方面擁有廣泛經驗。彼持有由中國證券投資基金業協會授予的基金從業人員資格。餘先生為香港匯通盈富基金管理有限公司的董事，並獲委任為深圳市兆新能源股份有限公司（一間於深圳證券交易所上市的公司，股份代號：002256）的監事會主席。根據餘先生提供的資料，香港匯通基金管理為一間於2011年12月8日在香港註冊成立的有限公司，並由餘先生最終實益擁有。於本聯合公吿日期，匯通基金管理尚未開展其資產管理業務，但已主要從事投資控股業務。
要約人擬於完成及要約截止後基本按現況繼續經營集團的現有主要業務，且無意對集團的業務進行重大變動或出售或重新調配集團固定資產，但集團日常業務過程中所涉及者除外。
此外，公司已向聯交所申請股份自2022年1月5日上午九時正起於聯交所恢復買賣。
