金輪股份(002722.SZ)：浙江省國資委將成為公司實控人 明起復牌
格隆匯1月4日丨金輪股份(002722.SZ)公佈，2022年1月4日，公司控股股東南通金輪控股有限公司(“金輪控股”)及其一致行動人安富國際(香港)投資有限公司(“安富國際”)、公司實際控制人陸挺與物產中大元通實業集團有限公司(“元通實業”)簽署《股份轉讓意向協議》，元通實業及/或其關聯方擬通過支付現金方式受讓金輪股份29%股份，交易金額暫定為人民幣99950萬元；元通實業可以將其於《股份轉讓意向協議》項下權利及義務全部或部分轉讓予其關聯方、由其指定關聯方履行其於本協議項下義務並行使有關權利，而無需取得其他方事先同意。
此次股份轉讓涉及上市公司控股股東及實際控制人的變更。此次交易完成後，元通實業將成為上市公司的控股股東，浙江省人民政府國有資產監督管理委員會(“浙江省國資委”)將成為上市公司的實際控制人。
公吿顯示，交易對手方元通實業是物產中大(600704.SH)一級成員企業。物產中大是中國供應鏈集成服務引領者，是浙江省省屬特大型國有控股企業集團。2018年9月，物產中大通過商務部、工信部等八部委聯合評選，入選“全國供應鏈創新與應用試點企業”。元通實業經營領域涉及實業製造、貿易服務、產業投資等，其核心產品包括電線電纜和不鏽鋼。元通實業聚焦國際貿易、現期結合兩類服務，通過縱向“貿工一體、內外貿一體”的全產業鏈佈局和橫向“產融結合、期現結合”的創新驅動，不斷在產品創新與產業鏈的延伸中尋找新的成長空間。元通實業與公司具有較高的產業關聯度和良好的資源互補性，能與公司形成高度戰略協同關係。
公司引入國有資本控股，可以優化公司股東結構，增強公司的金融信用和資金實力，提高公司抗風險能力，同時有利於完善公司不鏽鋼產業鏈，公司與股東優勢資源協同發展，提高公司綜合盈利能力。
現公司向深圳證券交易所申請，公司股票及可轉換公司債券(債券簡稱：金輪轉債，債券代碼：128076)自2022年1月5日開市起復牌。
