安徽皖通高速公路(00995.HK)擬成立合資 建設G50滬渝高速廣德至宣城段改擴建工程PPP項目
格隆匯12月31日丨安徽皖通高速公路(00995.HK)公吿，於2021年12月2日，宣廣公司及交控集團組成聯合體成為PPP項目中標人。根據招標文件，PPP項目所需投資總額為約人民幣137.78億元，及將通過(其中包括)宣廣公司及交控集團資本承擔約人民幣27.56億元進行融資。
宣廣公司及交控集團的上述資本承擔將通過首先以初始註冊資本人民幣4億元成立合資公司及結餘通過後續對合資公司的資本承擔履行。宣廣公司及交控集團將於合資公司成立後三年內共計作出資本承擔約人民幣27.56億元。
董事會欣然宣佈，於2021年12月31日，宣廣公司與交控集團訂立合資協議，據此，合資協議各方同意於中國安徽省宣城市成立合資公司，註冊資本為人民幣4億元。根據合資協議條款，合資公司將分別由宣廣公司及交控集團擁有99.0%及1.0%。合資公司將負責(其中包括)PPP項目的投資建設、高速公路運營、維護及管理、高速公路輔助設施建設、開發及管理及加油站建設運營。
"PPP項目"指G50滬渝高速廣德至宣城段改擴建工程PPP項目，於2021年12月2日由宣廣公司與交控集團成立聯合體中標。
G50上海至重慶高速公路廣德至宣城段為安徽省及浙江省間的重要省際通道，其擴建及改造可有效緩解交通擁堵，加強省際連接。G50上海至重慶高速公路廣德至宣城段的擴建改造工程已被列為加快高速公路建設及促進長江三角洲一體化發展的重點項目。該工程的實施乃為加強長江三角洲互聯互通，促進長江三角洲交通一體化。
本次交易將為宣廣公司及交控集團作為合資公司合夥人的戰略聯合體提供平台以集中彼等各自資源、能力及行業專長。作為安徽省國有資產監督管理委員會全資企業，與交控集團合作不僅使我們在PPP項目投標中更加擁有競爭力，亦使我們能夠與一家在安徽省內約4,490公里高速公路(佔安徽省高速公路總長度的92%)的投資、運營及管理方面具有豐富經驗公司進行合作。
董事認為，進行本次交易有利於集團的持續經營。預計本次交易將使本集團大幅延長G50上海至重慶高速公路廣德至宣城段的特許經營期，從而延長本集團公路資產的平均收費期。此外，預計參與PPP項目能夠實現本集團淨利潤的穩定增長，從而有利於本集團整體盈利能力的提升。
