恆力石化(600346.SH):擬以21.84億元收購廣振公司南通通州區的土地和廠房

格隆匯12月31日丨恆力石化(600346.SH)公佈,公司下屬公司江蘇軒達高分子材料有限公司(“江蘇軒達”)購買南通廣振紡織智能科技有限公司(“廣振公司”)的位於南通市通州區五接鎮的房屋建築物、在建工程、工程物資及3宗工業用地土地使用權等資產。

此次交易標的位於南通市通州區五接鎮橫港沙廠區內,包括房屋建築物、在建工程、工程物資及土地使用權等資產。具體包括:

房屋建築物:共計11項,已建成完工處於試生產運行使用的廠房等,共計232,748.67平方米,尚未辦理權屬證明。

在建工程:共計55項,主要為在建廠房、配套設施用房及相關工程費用等,目前在建工程項目仍在建設中,建設情況正常,共計1,204,314.55平方米。

工程物資:主要為建設工程項目購置的建築鋼材、管材、磚牆、管配件等物資,截至目前,週轉使用正常,資產整體狀況良好。

土地使用權:3宗工業出讓土地,土地使用權面積共計1,663,469.00平方米,均已取得土地使用權證。

此次交易雙方委託新蘭特房地產資產評估有限公司以2021年11月30日為評估基準日,並出具《資產評估報吿》(新蘭特評報字[2021]第369號)。此次交易的房屋建築物、在建工程、工程物資及土地使用權等資產於評估基準日的評估價值約21.84億元。以上述經評估的標的評估值作為定價依據,經交易雙方協商,上述資產交易價格約21.84億元。

此次收購旨在減少公司日常性關聯交易,並且保證江蘇軒達150萬噸/年綠色多功能紡織新材料項目的順利推進。

近兩年,公司下屬孫公司江蘇恆科新材料有限公司(“恆科”)先後啟動年產135萬噸多功能高品質紡織新材料項目(“恆科二期”)和150萬噸/年綠色多功能紡織新材料項目(“恆科三期”),其中恆科三期項目由恆科下屬公司江蘇軒達建設,該項目包括28萬噸功能性複合變形纖維項目、年產15萬噸超仿真功能性新型彈性纖維項目、年產15萬噸超仿真差別化環保纖維項目、年產30萬噸超仿真、改性聚酯(PET)纖維技改項目和年產30萬噸超仿真、功能性聚酯(PET)纖維技改項目。為了儘快啟動恆科三期項目建設,項目採取租賃廣振公司的土地和廠房,江蘇軒達投入設備的方式進行。因此,2021年4月,江蘇軒達採用市場化定價原則先期租賃廣振公司土地及工業廠房,租賃價格為4500萬元,租賃期限一年。該租賃事項已在公司2021年度日常性關聯交易的預計情況公吿中予以披露。

同時,隨着恆科三期項目的不斷推進,預計未來將增加對廣振公司其他土地和廠房的租賃,屆時關聯交易金額將會進一步擴大。因此,為減少上市公司的關聯交易,同時也為公司項目建設的平穩推進提供有力保障,公司擬收購廣振公司的土地和廠房。
