金力永磁(06680.HK)預計1月14日掛牌上市 引入混合所有制改革基金等多家基石
格隆匯12月31日丨金力永磁(06680.HK)發佈公吿，公司擬全球發售約1.25億股股份，其中香港發售股份1254.68萬股，國際發售股份約1.13億股，另有15%超額配股權；2021年12月31日至2022年1月7日招股，預期定價日為2022年1月7日；發售價每股發售股份33.80-40.30港元，每手買賣單位200股，入場費約8141港元；中信證券及BNP PARIBAS為聯席保薦人；預期股份將於2022年1月14日於聯交所主板掛牌上市。
公司為領先的高性能稀土永磁材料生產商。根據弗若斯特沙利文的資料，2020年公司的高性能稀土永磁材料產量的市場份額約為14.5%，排名世界第一。根據弗若斯特沙利文的資料，特別是，2020年公司使用晶界滲透技術生產4,111噸高性能稀土永磁材料，於晶界滲透稀土永磁材料市場排名世界第一，約佔21.3%的市場份額。自成立以來，公司一直專注於用於全球新能源、節能環保領域高性能釹鐵硼稀土永磁材料的研發、生產及銷售。
公司的產品廣泛用於新能源汽車及汽車零部件、永磁風力發電機、節能變頻空調及其他行業。公司認為憑藉公司龐大的生產能力、優質的產品供應、卓越的研發能力、專有技術，加上強大的產品交付能力，公司能夠有效地滿足包括身為各自行業全球領導者的客户的需求，並與彼等建立合作關係。公司曾於2015年12月至2018年1月期間於新三板掛牌。公司A股自2018年9月起於深交所創業板上市(股份代碼：300748)。公司尋求公司的H股於聯交所主板上市，與於深交所的A股進行雙重第一上市。
公司已訂立基石投資協議，據此，基石投資者已同意在若干條件的規限下購買下文表格所載數目的發售股份。假設發售價為37.05港元(即發售價中位數)，基石投資者將予認購的發售股份總數為5843.08萬股。基石投資者包括中國國有企業混合所有制改革基金 、CR Alpha Investment II Limited(由華潤集團間接擁有及控制的投資公司)、HHLR Fund, L.P. 及YHG Investment, L.P.、中信保誠人壽保險有限公司 、以及中白產業投資基金。
公司估計，假設超額配股權未獲行使，並假設發售價為每股37.05港元(即發售價中位數)，公司將獲得全球發售所得款項淨額約44.395億港元。公司擬使用將從此次發售獲得的所得款項淨額約35.0%用於建設寧波生產基地；約25.0%預期將於2023年年底之前用於潛在收購，以擴展公司的全球產業鏈佈局；約20.0%預期將用於公司的研發；約10.0%將分配至用於償還公司的包頭生產基地項目建設貸款；及約10.0%預期將用作公司的營運資金及一般公司用途。
