鞍鋼股份(000898.SZ)：擬與德鄰陸港共設鞍鋼工業品 推進設備資材採購平台資源整合及市場化改革
格隆匯12月30日丨鞍鋼股份(000898.SZ)公佈，為充分發揮鞍鋼產業鏈集羣的規模優勢、資源優勢與協同效應，加快公司智慧供應鏈服務平台建設，壯大現代供應鏈產業，助力企業高質量發展，公司擬與德鄰陸港共同投資設立鞍鋼工業品有限公司(以下簡稱鞍鋼工業品，名稱最終以工商登記機關核定名稱為準)，註冊資本為人民幣18000萬元，其中公司出資人民幣16380萬元，佔註冊資本比例為91%；德鄰陸港出資人民幣1620萬元，佔註冊資本比例為9%。
此次交易對方德鄰陸港是公司控股股東的全資子公司。因此，德鄰陸港與公司構成關聯關係，此項交易構成關聯交易。
鞍鋼工業品為公司設備資材採購的平台化服務供應商，通過對公司內外部專業資源與能力的持續融合，創新互聯網“易購”等新業態商業模式，逐步集成鞍鋼集團設備資材的集中與協同採購業務，服務於公司內外部單位，為線上線下供需雙方、上游下游企業提供電商交易平台及相關供應鏈金融服務，倉儲、配送等物流服務，設備監造等專業諮詢服務，形成集約化、平台化、專業化服務優勢，打造“專業、共享、陽光、高效、信賴”的工業品供應鏈生態平台，為公司提供穩定、優質、高效的專業化採購與保障服務，降低公司總體運營成本，助力高質量發展。
投資設立鞍鋼工業品，推進設備資材採購平台資源整合及市場化改革，符合公司發展戰略，對加快推進新業態發展，壯大現代供應鏈產業意義重大。一是可充分發揮線上線下采購平台的資源優勢與服務能力，為企業提供穩定、高效、優質的專業化採購與保障服務；通過對信息化系統的迭代升級，可充分發揮PSCS等信息化系統優勢，搭建供需雙方規範操作的交易平台，開展線上擇優、競價的互聯網“易購”，規避採購風險，提高採購效率；二是可充分發揮鞍鋼產業鏈集羣的規模優勢、資源優勢與協同效應，持續提升企業的話語權，提供性價比最優的工業品。三是構建靈活高效的市場化經營體制機制，提升企業市場活力、動力、競爭力。
