外高橋(600648.SH)：外資管公司擬無償劃轉5%的股份予浦東投控集團
格隆匯12月29日丨外高橋(600648.SH)公佈，公司於2021年12月27日接到公司間接控股股東上海浦東投資控股(集團)有限公司(“浦東投控集團”)《關於上海外高橋資產管理有限公司所持上海外高橋集團股份有限公司部分股份劃轉的意見》。
根據浦東投控集團《關於上海外高橋資產管理有限公司所持上海外高橋集團股份有限公司部分股份劃轉的意見》，公司間接控股股東浦東投控集團與公司控股股東上海外高橋資產管理有限公司(“外資管公司”)簽署了《上海外高橋資產管理有限公司與上海浦東投資控股(集團)有限公司關於上海外高橋集團股份有限公司之股份無償劃轉協議》，外資管公司擬將其持有的公司56,767,456股人民幣普通股股份(佔公司總股本5%)，無償劃轉至浦東投控集團。此次國有股份無償劃轉事宜已取得上海市浦東新區國有資產監督管理委員會同意。
此次無償劃轉前，公司間接控股股東浦東投控集團未直接持有公司股票；通過其全資子公司、公司控股股東外資管公司持有公司人民幣普通股股份602,127,116股，佔公司股份總數的53.03%；通過其全資孫公司鑫益(香港)投資有限公司間接持有公司6,923,640股境內上市外資股，佔公司總股本0.61%。綜上，浦東投控集團直接和間接合計持有公司股份609,050,756股，佔公司股份總數的53.64%。
此次無償劃轉完成後，公司間接控股股東浦東投控集團直接持有公司人民幣普通股56,767,456股，佔公司股份總數的5%；通過其全資子公司、公司控股股東外資管公司持有公司人民幣普通股股份545,359,660股，佔公司股份總數的48.03%；通過其全資孫公司鑫益(香港)投資有限公司間接持有公司6,923,640股境內上市外資股，佔公司總股本0.61%。綜上，浦東投控集團仍直接和間接合計持有公司股份609,050,756股，佔公司股份總數的53.64%。
