舜宇光學科技(02382.HK)：將出資18億元認購重慶螞蟻消費金融有限公司6%股權
格隆匯12月24日丨舜宇光學科技(02382.HK)公佈，於2021年12月24日，認購人(包括舜宇浙江光學、螞蟻集團、中國信達、魚躍醫療、博冠科技及渝富資本)與目標公司及現時擁有人訂立股權認購協議，據此，舜宇浙江光學及其他認購人已同意透過向目標公司分別注資人民幣18億元及人民幣202億元，認購註冊資本分別為人民幣18億元及人民幣202億元。於股權認購協議項下預期的增資完成後，舜宇浙江光學將持有經增資擴大的目標公司6%股權，並將成為目標公司的第三大股權擁有人。
據悉，目標公司重慶螞蟻消費金融有限公司(Chongqing Ant Consumer Finance Co.,Ltd.)，為一間於2021年6月4日在中國成立的有限責任公司。於公吿日期，目標公司分別由螞蟻集團、南洋商業銀行、國泰世華銀行、寧德時代、魚躍醫療、千方科技及中國華融持有50.000%、15.010%、10.000%、8.000%、4.990%、7.010%及4.990%股權
目標公司秉持"讓每一位認真生活的人，平等享受消費金融服務"的願景，利用智慧商業決策系統和智慧風險控制系統能力，將金融服務平滑融入消費流程，提供便捷、柔順、流暢的信貸服務。目標公司堅持科技驅動、服務於實體經濟、深耕消費場景、踐行普惠金融使命，將依託股東方在客户、場景、生態等多方面的商業基礎，發展成為一家以金融科技為驅動，個人消費金融服務專業度領先的全國性消費金融機構。
經監管核准目標公司經營以下人民幣業務：(一)發放個人消費貸款；(二)接受股東境內子公司及境內股東的存款；(三)向境內金融機構借款；(四)經批准發行金融債券；(五)境內同業拆借；(六)與消費金融相關的諮詢、代理業務；(七)代理銷售與消費貸款相關的保險產品；(八)固定收益類證券投資業務；(九)中國銀行保險監督管理委員會批准的其他業務。
董事認為，認購事項將為集團提供以下裨益：(a)目標公司是一間利用智慧商業決策和智慧風險控制系統提供消費信貸服務的消費金融機構。目標公司的上述能力對集團結合運營，進一步顯著提升生產與工作效率並更好地服務客户，有長遠而深刻的戰略意義；(b)集團正積極探索視覺感知在AIoT領域的應用場景。集團的人臉識別和活體檢測等光學相關產品與目標公司的消費金融場景有大量已有及潛在的業務合作機會；及(c)認購事項是集團的長期投資，可能為集團帶來相對較好的財務回報。
