翰宇藥業(300199.SZ)：變更對參股公司健麾信息的會計核算方法
格隆匯12月24日丨翰宇藥業(300199.SZ)公佈，公司於2021年12月24日召開第五屆董事會第三次會議、第五屆監事會第二次會議審議通過了《關於對參股公司會計核算方法變更的議案》。根據相關法律法規的規定，本次會計核算方法發生變更需經公司董事會審議通過，無需提交股東大會審議。
公司2015年投資上海健麾信息技術股份有限公司(“健麾信息”)，持有其15%的股權，健麾信息董事會由9名成員組成，公司委派了一名董事，參與經營管理。2020年12月22日，健麾信息成功在上交所主板上市，上市後公司股份稀釋，稀釋後持有健麾信息10.19%的股權，2020年12月29日，公司委派的董事PINXIANG YU辭任，公司未以任何方式通過任何人員實質參與健麾的經營管理決策，未與健麾信息之間發生重要交易，也未向健麾信息提供關鍵技術資料等影響健麾信息公司運營的情形，並永久放棄對健麾信息的董事提名權。因此，公司對其經營決策無法再施加重大影響。
根據《企業會計準則第2號--長期股權投資》的規定，投資方因處置部分股權投資等原因喪失了對被投資單位的共同控制或重大影響的，處置後的剩餘股權應當改按《企業會計準則第22號-金融工具確認和計量》核算。
翰宇藥業已主動處置持有的部分股權，持有股權的目的已經發生變化，且原委派的董事已撤銷，不再對被投資單位產生重大影響。翰宇藥業對當前持有的相應股權比照上述規定進行會計處理。
此次變更前，公司對健麾信息股權按照長期股權投資列報，並按權益法進行計量。
此次變更後，公司對健麾信息股權按照交易性金融資產列報，並按照公允價值進行後續計量。
變更日期為2021年12月22日。
根據《企業會計準則第2號一長期股權投資》規定，按照喪失重大影響之日的公司所持有健麾信息股權的公允價值與該時點長期股權投資賬面價值之間的差額計入當期損益，原股權投資採用權益法核算而確認的其它綜合收益、資本公積全部轉入當期損益。該會計處理對公司2021年第四季度合併報表的影響如下：截至2021年12月22日，該會計處理減少合併資產負債表中長期股權投資1.64億元，增加交易性金融資產5.2億元；另外增加合併利潤表中投資收益3.81億元，相應增加歸屬於母公司所有者的淨利潤3.81億元。上述數據未經審計，最終以年審會計師出具的2021年度審計報吿為準。
