長實集團(01113.HK)就AF出售交易和VAH出售交易訂立買賣協議 總代價達331.79億港元
格隆匯12月24日丨長實集團(01113.HK)發佈公吿，2021年12月23日，AF賣方(公司間接全資附屬公司、作為AF目標公司的賣方)、VAH賣方(公司間接擁有90%權益的附屬公司、作為VAH目標公司的賣方)、買方(即Maverick Aviation Holdings Ltd.)及公司(作為AF賣方及VAH賣方各自的擔保人)分別就AF出售交易和VAH出售交易訂立買賣協議。有關交易須受限於若干條款及先決條件均已按照買賣協議達成後，方吿完成。
AF出售交易的總代價約為現金24.41億美元(約等於港幣189.21億元)，即AF目標集團所持飛機的議定整體價格(及其與飛機原有設備製造商所訂若干合約項下的付款及若干租賃文件訂明的應計租賃款項的議定價格)，惟須作出買賣協議所訂屬飛機租賃行業及同性質交易慣常所作的調整。
VAH出售交易的總代價約為現金18.40億美元(約等於港幣142.58億元)，即VAH目標集團所持飛機的議定整體價格(以及若干飛機購買選擇權、若干租賃文件訂明的應計租賃款項，及由VAH賣方及其集團成員公司轉讓若干知識產權的議定價格)，惟須作出買賣協議所訂屬飛機租賃行業及同性質交易慣常所作的調整。
AF目標公司(即Accipiter Finance S.à r.l.)是一家投資控股公司，持有AF目標集團內各家公司的股權。AF目標集團主要從事提供商用定翼飛機經營租賃的業務。AF出售交易涉及出售AF目標集團持有的合共74架飛機，連同該等飛機的租約，以及訂購中的其他飛機。VAH目標公司(即Manchester Aviation Finance S.à r.l.)是一家投資控股公司，持有VAH目標集團內各家公司的股權。VAH目標集團主要從事提供商用定翼飛機經營租賃的業務。VAH出售交易涉及出售VAH目標集團持有的合共51架飛機，連同該等飛機的租約，以及訂購中的其他飛機。
公吿稱，新冠疫情導致飛機租賃行業的範式轉變，風險與回報動態變得不穩定且難以預測，行業內亦因就減輕波動而出現更多整合及併購活動。集團飛機租賃業務經內部整合後，集團認為是項交易乃疫情中退出飛機租賃行業並加強戰略重點的時機。出售交易讓集團可釋放飛機組合的相關價值並變現理想收益，從而為集團股東創造價值，集團亦有機會重新調配資本以參與其他投資項目。自2014年飛機租賃組合的構建，包括將主要為低機齡的窄體飛機出租予信用狀況良好的航空公司客户，飛機租賃部門持續帶來穩定的回報。
