大連重工(002204.SZ)：數控公司擬通過公開掛牌引入投資者實施增資擴股
格隆匯12月23日丨大連重工(002204.SZ)公佈，根據經營發展需要，公司下屬全資子公司大連華鋭重工數控設備有限公司(“數控公司”)擬通過在大連產權交易所公開掛牌方式引入投資者實施增資擴股，增資價格不低於1元/註冊資本。同時，數控公司正在使用的商標中有3項為公司所有，3項專利為公司和數控公司共有，上述公司擁有的無形資產權益評估值合計34.765萬元，公司此次將其增資入股數控公司，該部分增資價值最終對應所佔股權比例與新增投資者同股同價。
此次數控公司擬新增註冊資本額度為1500萬元至4500萬元(含公司以無形資產增資)。增資擴股完成後，數控公司註冊資本將由500萬元增加到2000萬元至5000萬元之間，預計數控公司將不再納入公司合併報表範圍。最終增資規模、引入投資者情況及持股比例將根據掛牌結果，以競爭性談判方式確定，公司所持有的存量股權在增資擴股後數控公司中所佔權益不低於資產評估價值337.56萬元。如新增註冊資本未達到1500萬元，則為增資失敗。
數控公司主要產品為數控切割設備，從成立之初便專注於研發，2005年推出了自主研發的便攜式數控切割機，2010年研發了新產品打印式數控切割機。2016年開始，數控公司進入了激光切割機生產領域，並推出了面向重工行業的重型激光切割機。2018年開始研發機器人切割與焊接，並掌握了三維切割與焊接機器人的技術，於2019年實現了產品銷售，目前處於新產品市場逐步拓展和技術持續優化階段。由於數控公司採取輕資產經營模式，原有經營業務規模偏小，在經營、生產、管理等方面亟待提升。此次增資擴股後，數控公司將把發展的突破口放在機器人應用市場上，主要為重型機械行業及相關配套產業提供智能機器人焊接、切割解決方案。通過引進具備一定實力的投資者，有利於各方在產業上發揮協同作用，進一步增強其內生動力和市場活力，着重解決資金、人才、技術瓶頸，使數控公司在智能化焊接與切割領域能夠持續進行資源投入，支持其業務快速發展。
此次增資擴股事項尚需取得大連市國有資產監督管理委員會批准後在大連產權交易所掛牌，仍存在一定的不確定性。如此次增資擴股事項順利達成，公司對數控公司持股比例將不超過26.74%，且公司推選委派的董事在增資擴股後數控公司董事會席位中佔比少於半數，預計數控公司將不再納入公司合併財務報表範圍，公司將其股權投資調整為權益法核算，因數控公司當前經營規模較小，預計不會對公司財務及經營狀況產生重大影響。
