鼎豐集團控股(06878.HK)出售鼎豐數碼科技100%股權
格隆匯12月23日丨鼎豐集團控股(06878.HK)公吿，於2021年12月23日，買方Prestige Eagle Investments Limited與賣方Differ Construction and City Development Company
Limited(買方為獨立第三方，賣方為公司間接全資附屬公司)訂立該協議，據此，買方已同意按代價收購待售股份，而賣方亦已同意出售鼎豐數碼科技有限公司100%股份。根據該協議，賣方會將出售集團出售予買方。
出售公司於2021年5月11日在英屬處女羣島註冊成立為有限公司，主要從事投資控股，目前並無重大業務營運。
附屬公司C的主要資產為該地塊。該地塊位於中國福建省龍巖上杭縣臨城鎮二環路南側與西環路西側的交叉口，總用地面積為52,221平方米。該地塊將作住宅(70年)及商業(40年)用途。
該地塊預計將發展成一項名為"鼎豐財富中心"的商住綜合體，內設住宅單位、辦公室及餐廳。建於該地塊上的大樓現正進行施工，於本公吿日期，該地塊的預期總銷售樓面面積合共約為156,663平方米。
出售集團主要從事物業發展。完成後，集團不會持有出售公司任何股權。董事認為，現在是本集團將有關股權出售，以從出售事項中變現溢利及釋放資金的良好機會，有關資金將用作日常業務營運及一般營運資金。
董事進一步認為，出售事項為一個良好機會，讓集團在現階段將待售股份出售，以鎖定溢利並減低中國物業市場的潛在波動所帶來的未來風險。董事會認為，出售事項為集團提供機會出售其於出售集團的權益，以變現其透過出售集團持有該地塊及投資公司A的權益所產生的收益。賣方將予收取的代價將可改善本集團的整體現金流及流動資金水平。
此外，出售事項完成意味公司將不再需要就出售集團的建築或管理成本出資。這代表本公司將有更多資金用於集團其他業務範疇，如用作發展其他日常業務及一般營運資金等。因此，董事認為，現在是集團將其於出售集團的權益出售，以從出售事項中變現溢利及為未來業務釋放資金的機會，該等資金將按上文所述用途使用。
