遠興能源(000683.SZ)：擬收購銀根礦業14%的股權並以37.25億元對其進行增資
格隆匯12月23日丨遠興能源(000683.SZ)公佈，公司擬以支付現金的方式購買納百川持有的銀根礦業的14%股權、擬以現金37.25億元對銀根礦業進行增資。
此次交易實施前，公司持有銀根礦業36%的股權；此次交易完成後，公司將持有銀根礦業60%的股權，實現對銀根礦業的控制。
中通誠接受遠興能源的委託，根據有關法律法規和資產評估準則，本着客觀、獨立、公正、科學的原則，按照必要的評估程序，對銀根礦業股東全部權益價值在2021年8月31日的市場價值進行了評估，並出具了《資產評估報吿》(中通評報字[2021]12420號)。
中通誠採用資產基礎法對標的公司進行評估，此次評估的礦權評估值引用了儒林評估出具《採礦權評估報吿》的評估結果；截至評估基準日2021年8月31日，銀根礦業淨資產評估值為1,372,219.04萬元，較賬面值增值1,336,236.32萬元，增值率為3713.55%。
此次交易標的資產作價以上述評估值為參考依據並綜合考慮評估基準日後標的公司到位的出資款項120109.38萬元，經交易各方協商確定標的公司100%股權整體估值為149億元，對應標的公司14%股權的交易價格為20.86億元；上市公司對標的公司增資37.25億元，其中55,859,375元計入註冊資本，其餘3,669,140,625元計入資本公積。
作為供需兩方面受益於“雙碳”政策的行業，在突破資源限制的前提下，天然鹼未來發展前景良好。根據能源智庫 Genesis Energy，2021 年全球天然鹼生產商庫存已售罄。
天然鹼礦產資源是制約天然鹼業務發展的核心要素，儲備優質的礦產資源是從事天然鹼業務企業的核心競爭力之一，也是其持續盈利能力的最大保障。通過此次交易，公司將取得銀根礦業所屬塔木素天然鹼礦。根據經內蒙古自治區自然資源廳備案的儲量核實報吿，塔木素天然鹼礦總含礦面積42.1平方公里，固體天然鹼礦石量10.78億噸，礦物量7.09億噸，平均品位65.76%。根據中華人民共和國地質礦產行業標準(DZ／T0212.1—2020)，該礦屬於大型天然鹼礦牀。
通過此次交易，公司加大了對優質天然鹼礦產資源的儲備，進一步鞏固和增強了核心競爭力，為公司的長遠發展提供了強有力的支撐和保障。
另外，銀根礦業目前處於建設期，建成投產後將形成年產780萬噸純鹼和80萬噸小蘇打的生產能力；純鹼和小蘇打是上市公司的核心業務之一，銀根礦業投產後將與上市公司形成同業競爭。此次交易旨在解決上市公司與控股股東的潛在同業競爭問題，保護上市公司中小股東權益，突出上市公司主營業務、提升盈利能力，並由博源集團履行其已出具的承諾。
