華大基因(300676.SZ)：擬以債轉股及股權受讓取得早知道科技10.9667%的股權
格隆匯12月22日丨華大基因(300676.SZ)公佈，鑑於公司看好深圳市早知道科技有限公司(以下簡稱早知道科技或目標公司)及其所在消費級基因檢測行業和羣體基因組學研究服務行業的發展前景，為優化目標公司資產負債結構和融資能力，促進其良性運營和可持續發展，公司於2021年12月22日與南京華大共贏一號創業投資企業(有限合夥)(以下簡稱南京華大共贏一號)、陳鋼、目標公司、目標公司包括早知道投資、測不準投資在內的15名原股東共同簽署了《關於深圳市早知道科技有限公司之投資協議》，公司通過債轉股方式對目標公司增資並受讓其部分股權，交易金額合計為5300萬元，具體投資安排如下：
1、以可轉股債權方式增資：公司以其對早知道科技享有的3500萬元的可轉股債權方式向目標公司增資，認繳目標公司新增註冊資本人民幣108.3591萬元，其餘人民幣3,391.6409萬元計入資本公積。公司與早知道科技因可轉股債權形成的債權債務關係相應解除。
2、受讓部分股權：公司以自有資金人民幣953萬元受讓早知道投資持有的目標公司註冊資本人民幣35.0368萬元對應的股權；公司以自有資金人民幣847萬元受讓測不準投資持有的目標公司註冊資本人民幣31.1397萬元對應的股權。
除上述公司涉及的交易外，目標公司另一債權人南京華大共贏一號擬以其對早知道科技享有的2305.75萬元的可轉股債權方式向目標公司增資，認繳目標公司新增註冊資本人民幣71.3854萬元。
目標公司完成上述交易後，其註冊資本將由1411.7645萬元增至1591.5090萬元。其中，公司持有早知道科技的註冊資本為174.5356萬元，佔早知道科技的股權比例為10.9667%。此次交易中，目標公司現有其他股東均已放棄相應的優先認購權及優先受讓權。
公吿顯示，早知道科技是一家羣體/個人基因組學研究和應用機構，擁有數十萬人的基因組數據庫，有豐富的基因組學檢測、分析和解讀經驗。目前早知道科技主營業務為以個人基因組檢測為核心的檢測產品銷售和運營和羣體基因組學研究服務。
1、消費級基因檢測服務：以直接面向消費者個人基因組檢測為核心的檢測產品銷售和運營，以全基因組檢測技術為基礎，為國內外消費者提供個人全基因組檢測和解讀分析服務。
2、羣體基因組學研究服務：基於服務數十萬直接面向消費者基因檢測用户的技術和數據平台，為國內的臨牀醫院和科研機構的精準醫學隊列研究提供羣體基因組學檢測、分析和研究參與者管理服務，並與研究機構合作開展隊列研究成果的轉化和推廣。
