東華能源(002221.SZ)：擬引進第三方投資者對寧波新材料增資合計20億元
格隆匯12月22日丨東華能源(002221.SZ)公佈，公司所屬全資子公司東華能源(寧波)新材料有限公司(“寧波新材料”或“標的公司”)擬引進農銀金融資產投資有限公司(代表農銀投資—寧波新材料債轉股投資計劃)(“農銀投資計劃”)、交銀金融資產投資有限公司(“交銀投資”)、建信金融資產投資有限公司(“建信投資”)分別以現金增資8億元、7億元、5億元。增資資金主要用於償還銀行發放貸款所形成的債權，適當考慮其他類型債權。
此次增資是公司實施市場化債轉股，從而降低資產負債率，優化公司資產結構的舉措，符合國家相關政策導向及公司發展目標，不存在損害公司及股東利益的情形。
寧波新材料作為公司重要的生產基地，自2021年上半年寧波烷烴資源綜合利用(二)期、(三)期項目投產後，目前已有兩套PDH裝置與三套PP裝置。公司此次在寧波新材料層面引入第三方投資者有利於拓寬主營業務板塊的融資渠道，更好地滿足公司主營業務經營發展對流動資金的需求，融合多方優勢資源形成協同效應，進一步提升公司市場競爭能力與可持續發展能力。此次增資符合公司的整體戰略方向以及業務板塊的經營發展需要，有利於優化寧波新材料融資結構，增強寧波新材料的資金實力，滿足其對資金和註冊資本的需求，增強公司綜合競爭力；有利於降低負債和提高權益資本，降低公司資產負債率，改善公司財務指標，降低企業槓桿，符合國家政策；有利於降低公司的利息支出、增強整體盈利能力，提高公司的核心競爭力和可持續發展能力，符合公司長遠利益。
此次增資完成後，公司仍為寧波新材料的控股股東，公司合併報表範圍不會發生變化。若後續此次新進第三方投資者根據《股權轉讓合同》以回購退出的，公司屆時可依據協議的相關約定進行回購。若屆時進行上翻收購的，則根據中國證監會、深圳證券交易所的相關規定上翻收購向其發行股份/可轉債成功後，此次新進第三方投資者將成為公司股東。
