光威復材(300699.SZ)：擬參與對威海光晟增資並實現對其控制
格隆匯12月22日丨光威復材(300699.SZ)公佈，威海光晟航天航空科技有限公司(“威海光晟”)擬新增註冊資本7000萬元人民幣，將註冊資本由1000萬元增加至8000萬元。
公司擬以自有資金2680萬元認購威海光晟新增註冊資本2680萬元，公司控股股東威海光威集團有限責任公司(“光威集團”)董事、監事及公司部分董事、監事、高級管理人員共16名關聯自然人合計出資2000萬元，認購威海光晟新增註冊資本2000萬元。
此次增資完成後，公司直接持有威海光晟的出資佔註冊資本的比例為33.5%，公司關聯自然人持有威海光晟的出資佔註冊資本的比例為25%。根據《上市公司收購管理辦法(2020修正)》第八十三條的規定，上述參與此次增資的16名關聯自然人為公司的一致行動人，公司及公司的一致行動人合計持有威海光晟58.5%的股權；此外，在威海光晟由三人組成的董事會中，公司提名兩名董事；公司將控制威海光晟，威海光晟納入公司內控管理體系和合並報表範圍。
威海光晟以王國平為核心的經營和技術團隊擁有深厚的航天航空研發背景和豐富的複合材料結構設計研究和開發應用經驗，多年來專注於航天航空複合材料產品的設計與研發製造，在航天火箭發動機複合材料殼體、全複合材料航空飛行器、船舶水上水下複合材料結構等各類型結構性及功能性複合材料產品定製研發、設計製造等方面擁有多項成功案例，有能力為客户提供可靠、高性價比的復合材料整體解決方案。
公司此次對外投資參與威海光晟增資，並實現對威海光晟的控制，是從整體利益出發，堅定貫徹“跳出院牆圍着院牆轉”的發展理念、沿着碳纖維產業鏈不斷拓展公司業務、從以材料為主繼續向材料與應用並重的嘗試和努力。參與光晟增資有利於公司完善產業佈局、強化公司在部分領域的業務能力、更好的發揮全產業鏈協同效應、構建更加健康可持續的業務結構、增強公司核心競爭能力和抵抗風險的能力，進一步鞏固公司在國內碳纖維行業的領先地位。
