飛凱材料(300398.SZ)：部分募投項目重新論證並暫緩實施
格隆匯12月22日丨飛凱材料(300398.SZ)公佈，公司於2021年12月22日召開第四屆董事會第二十三次會議和第四屆監事會第十七次會議，審議通過了《關於部分募集資金投資項目重新論證並暫緩實施的議案》。
截至2021年12月15日，公司向不特定對象發行可轉換公司債券募集資金投資項目“年產150噸TFT-LCD合成液晶顯示材料項目”和“年產2000噸新型光引發劑項目”的募集資金尚未開始投入使用。
暫緩實施的原因：“年產150噸TFT-LCD合成液晶顯示材料項目”因公司在該項目的募集資金到賬前已使用自有資金對已有的單晶產線進行了技術改造，目前公司單晶產能在原有產能基礎上已實現擴大並能滿足客户需求，因此公司暫時未對該項目進行投入。“年產2000噸新型光引發劑項目”當前市場環境與該項目立項時相比已發生較大變化，近年來光引發劑的原材料價格上漲明顯，項目預計收益受到影響，因此公司一直未啟動該項目的實施。
根據《深圳證券交易所創業板上市公司規範運作指引(2020年修訂)》的相關規定：募集資金投資項目擱置時間超過一年的，上市公司應當對該項目的可行性、預計收益等重新進行論證，決定是否繼續實施該項目。因此，公司對“年產150噸TFT-LCD合成液晶顯示材料項目”和“年產2000噸新型光引發劑項目”進行了重新論證。
1、年產150噸TFT-LCD合成液晶顯示材料項目
近年來，我國持續推出了面板產業配套國產化、本地化的政策，鼓勵面板產業材料和設備實現國產化。隨着生產能力和研發能力的快速提升，國內液晶材料企業快速成長，國內企業已經掌握了此類混合液晶的生產、控制技術，相比國外進口產品具有成本及服務優勢，液晶材料國產化率穩步提升。同時，隨着國內高世代面板產線逐步投產，公司混晶銷量仍保持快速增長。公司在屏幕顯示材料行業領域內有良好的技術基礎和較強的成本優勢，本次TFT-LCD合成液晶顯示材料項目的實施，可以使公司產品向上遊產業鏈延伸，這將有效降低外購原料成本，有利於公司進一步提高產品質量，提高盈利水平，同時可以滿足公司業務規模快速發展的需要，提高公司在屏幕顯示材料行業的市場競爭力和行業地位。加之未來公司“年產120噸TFT-LCD混合液晶顯示材料項目”的建成並投產，公司自身也將需要更大量的單晶來滿足對上游原材料的需求。因此，公司認為“年產150噸TFT-LCD合成液晶顯示材料項目”符合公司整體戰略規劃以及發展需要，仍然具備投資的必要性和可行性，公司將繼續實施該項目，同時也將密切關注行業政策及市場環境變化對該募集資金投資進行適時安排。
2、年產2000噸新型光引發劑項目
近年來，光引發劑的原材料價格上漲明顯，公司對該募投項目重新做了研究和評估，認為該項目當前在實施難度、投資收益等方面與預期相差較大，是否符合公司整體戰略規劃以及發展需要目前存在不確定性，後續公司將根據市場情況以及自身實際狀況決定是否繼續實施該項目，同時公司也將密切關注行業政策及市場環境變化對該募集資金投資進行適時安排。
