完美世界(002624.SZ)：擬以1.25億美元出售PWNA及PWP B.V. 100%的股權
格隆匯12月21日丨完美世界(002624.SZ)公佈，公司下屬全資子公司Perfect World Europe B.V. (“PWE B.V.”)與 Embracer Group AB (“Embracer”)簽訂《股權購買協議》，Embracer擬以1.25億美元的對價購買PWE B.V.持有的 Perfect World North America Corporation (“PWNA”)及Perfect World Publishing B.V.(“PWP B.V.”)100%的股權(“PWNA”與“PWP B.V.”合稱“交易標的”)。
Perfect World North America Corporation，主營業務：PC及主機遊戲的研發及歐美地區的發行業務，旗下擁有《無冬之夜》《星際迷航》《火炬之光》等遊戲產品。PWNA為 PWE B.V.全資子公司，均為完美世界全資子公司。
Perfect World Publishing B.V.，主營業務：歐美地區PC及主機遊戲的發行業務。PWNA為PWE B.V.全資子公司，均為完美世界全資子公司。
交易金額及支付方式：1.3億美元，具體包括6500萬美元現金，及買方向賣方發行價值6500萬美元的B股股票。其中，6500萬美元現金對價需在交割時點就本次交易產生的交易費用、人員優化成本、公司借款等雙方商定的事項進行調整，預計調整後現金對價約6000萬美元。調整後交易對價合計約1.25億美元。股票對價中的股份數量根據交易協議簽署日前20個交易日的交易均價確定。
為了更好地貫徹全球化發展戰略，公司調整海外遊戲業務佈局，海外本土團隊在數量上更加精煉，在區域上側重加拿大等更具有人才優勢和政策優勢的地區，在產品上聚焦於移動遊戲、單機遊戲等方向，海外本地化發展路徑更加清晰。放眼未來，公司的海外市場戰略，將圍繞“國內產品出海+海外本地化發展”雙維度發力，從而實現“全球製作、全球發行、全球夥伴”，面向全球市場創造優質的遊戲產品。
此次交易，旨在進一步整合優化公司海外資源配置，為公司海外遊戲業務的穩健發展釋放活力，不存在損害公司及股東特別是中小股東利益的情形。
此次交易完成後，公司不再持有 PWNA 和 PWP B.V.的股權，PWNA 和 PWPB.V.將不再納入公司合併報表範圍。
此次交易預計將於2022年完成交割，不會對公司2021年度財務狀況及經營成果產生重大影響。此次交易預計將產生3.8億元投資收益(税前)，相關收益於交割完成時確認，具體財務影響受交割時點Embracer股票公允價值、標的公司淨資產金額、匯率波動等因素綜合影響，將以審計結果為準。
