華誼騰訊娛樂(00419.HK)訂立一系列VIE合約安排
格隆匯12月20日丨華誼騰訊娛樂(00419.HK)發佈公告，於2021年12月20日，(i)公司、柏海投資（公司全資附屬公司）、騰海健康（公司全資附屬公司）、WFOE（公司全資附屬公司）、目標公司OPCO、醫智諾、創始股東與韓立暉女士訂立第二份補充協議，以實現企業重組，及(ii)WFOE與OPCO、醫智諾及╱或中國股權擁有人訂立一系列VIE合約安排，以便目標集團於現有線上平臺提供延伸服務，即爲醫藥產品╱醫療器械的供應商（主要包括製藥商）提供結構化管理渠道，向其提供人事溝通管理、數字化營銷、信息資源管理、產品管理、人事管理、線上醫療研討會服務及其他服務，其中涉及就現有線上平臺提供的資訊及其他服務收取服務費。
考慮到中國法律的相關限制，有必要進行企業重組以便目標集團提供延伸服務。透過VIE合約安排，WFOE將有效控制目標集團的財務及營運，並將享有目標集團產生的經濟利益及裨益。訂立VIE合約安排後，OPCO的財務業績將繼續併入集團的綜合財務報表，而OPCO將繼續爲公司的間接非全資附屬公司。
OPCO爲一間根據中國法律成立的有限公司。於本公佈日期，OPCO由柏海投資（公司全資附屬公司）、王劍先生、商晶女士、林進聰先生及僱員持股平臺分別持有51%、21.9%、21%、0.1%及6%的股權。根據OPCO的營業執照，其業務範圍包括提供診所服務、互聯網診療，以及與內科、外科、婦產科、兒科、急診醫學、醫學影像、超聲診斷、醫學實驗室相關的中西藥銷售。OPCO亦擁有《醫療機構執業許可證》。於本公佈日期，OPCO經營一家位於中國福建省的診所。
醫智諾（OPCO全資附屬公司）爲一間根據中國法律成立的有限公司，連同目標集團的中國其他附屬公司（海南德鑫除外）主要從事主營業務。海南德鑫自其註冊成立以來尚未開展任何業務。
