南都電源(300068.SZ)：擬將南都華宇和長興南都的控股權轉讓給雅迪集團
格隆匯12月17日丨南都電源(300068.SZ)公佈，根據公司經營發展戰略需求，為調整產業和產品結構，促進經營資金迴流，進一步聚焦新能源儲能、鋰電及鋰電回收業務，有效緩解公司經營資金需求，公司擬將公司從事兩輪民用鉛酸電池業務的兩個控股子公司的控股權轉讓給雅迪科技集團有限公司(“雅迪集團”、“受讓方”)。
具體為公司擬將控股子公司界首市南都華宇電源有限公司(“南都華宇”)21%股權和浙江長興南都電源有限公司(“長興南都”)21%股權轉讓給雅迪集團，其中，南都華宇交易作價9345萬元，長興南都交易作價0萬元，合計交易作價為9345萬元。
同時，南都華宇和長興南都的少數股東濱州博涵企業管理諮詢合夥企業(有限合夥)(“濱州博涵”)擬將其持有的南都華宇49%股權和長興南都49%股權轉讓給雅迪集團，其中，南都華宇交易作價2.18億元，長興南都作價0萬元，合計交易作價為2.18億元。
同時，公司放棄上述南都華宇49%和長興南都49%股權的優先購買權。
公司本次交易主要基於調整產業結構、盤活存量資產的考慮，有利於公司當前快速回籠投入，緩解經營資金緊張，促進公司健康可持續發展。本次交易完成後，公司可收回對上述兩家標的公司財務資助、股權轉讓款、相應技術轉讓款和經營性往來款，可回籠較多資金。此次交易完成後，回籠資金將有效彌補公司未實施非公開發行公司發展所需資金，同時可緩解現有資金壓力和降低負債。
截至協議簽署日，公司向南都華宇提供擔保金額合計為2.08億元。在本次交易完成後，雅迪集團將通過變更擔保人的方式以解除公司向南都華宇的擔保，在此之前雅迪集團將對上述擔保提供反擔保。同時，由於南都華宇向南都鴻芯提供擔保，擔保金額為12,457萬元，公司將對南都華宇向南都鴻芯的擔保提供反擔保。
上述交易完成後，公司持有南都華宇30%股權和長興南都30%股權，南都華宇及長興南都將不再是公司控股子公司，不再納入公司合併報表範圍。
