新股公告|泉峯控股(02285)擬發行7191.6萬股 引入惠理香港等基石投資者
智通財經APP訊，泉峯控股(02285)於2021年12月17日-12月22日招股，擬發行7191.6萬股，香港公開發售佔10%，國際配售佔90%，另有15%超額配股權。每股發售股份37.60港元-43.60港元，每手100股，預期股份於2021年12月30日上市。
據悉，該公司爲一家電動工具及戶外動力設備(OPE)的全球供應商。該公司專注於創新(尤其是鋰電池系統技術領域的創新)，已促使公司取得龐大規模並實現快速增長。
該公司提供知名品牌組合下的全套產品，該等產品專爲滿足全球終端用戶的多樣化需求而量身定製。該公司的電動工具的目標客戶爲工業級╱專業級及消費級終端用戶，而公司的OPE產品的目標客戶爲高端及大衆市場終端用戶。該公司目前擁有EGO、FLEX、SKIL、大有及小強五個差異化且廣受認可的品牌，覆蓋主要地區及細分市場。尤其是該公司的EGO
品牌自2013年成立以來獲得全球電動OPE市場的高度認可。
於往績記錄期間，該公司的收入大幅增長，盈利能力顯著改善。該公司的收入由2018年的6.907億美元增至2020年的12.009億美元，複合年增長率爲31.9%，根據弗若斯特沙利文報告，遠高於同期全球電動工具及OPE行業的4.9%。該公司的收入由截至2020年6月30日止六個月的5.144億美元增加68.9%至截至2021年6月30日止六個月的8.688億美元。
假設超額配股權未獲行使，且發售價爲每股發售股份40.60港元，全球發售淨籌約爲27.495億港元。其中，約66.5%將用於擴大及升級公司在中國的生產基地;約9.0%將用於產品研發;約7.0%將用於改善銷售及分銷渠道;約7.5%將用於支付計息銀行借款(該等借款通常用作營運資金);約10.0%將用作營運資金及其他一般企業用途。
另外，公司已與基石投資者訂立基石投資協議，基石投資者已同意，待若幹條件達成後，按發售價認購以總金額約2.10億美元可購買的發售股份數目。基石投資者包括：惠理基金管理香港有限公司;景林資產管理香港有限公司;Prime
