首灃控股(01703.HK)獲譚家偉折讓約74.16%提收購要約 明日復牌
格隆匯12月16日丨首灃控股(01703.HK)公吿，公司獲賣方吿知，於2021年12月15日，要約人Wonderful Cosmos Limited、Wai Ka Po女士及Lo Yung Yung 女士（作為買方）與敏莊（敏莊為公司的控股股東）及錦薪（作為賣方）訂立買賣協議，據此，要約人、Wai女士及Lo女士已有條件同意收購，而賣方已有條件同意出售合共6.85億股銷售股份，佔公司於本聯合公吿日期全部已發行股本約59.57%。銷售股份的代價為1.58億港元（相當於每股銷售股份0.23港元）。完成於2021年12月15日簽署買賣協議後立即落實。
緊接完成前，要約人及要約人的一致行動人士並無持有、控制或定向分配公司任何股份或其他相關證券。緊隨完成後，根據收購守則規則26.1，要約人須就所有已發行股份提出強制性無條件現金要約，每股要約股份現金0.23港元，較緊接股份於2021年12月15日暫停買賣前於最後交易日於聯交所所報最後交易價每股0.89港元折讓約74.16%。
要約人為於英屬處女羣島註冊成立的投資控股有限公司。於本聯合公吿日期，要約人由譚家偉先生（彼亦為要約人的唯一董事）全資擁有。譚先生，60歲，在餐飲業擁有逾三十年的商業設計及市場推廣經驗。譚先生於2020年7月至2021年3月擔任執行董事。於加入公司前，彼於2015年3月至2018年12月擔任廣州市蔡瀾寶島美食餐飲管理有限公司的市場推廣總監，該公司主要於中國從事餐飲業務，其後於2019年1月至2019年9月晉升擔任品牌管理總裁。
要約人認為收購銷售股份乃一項極具吸引力的投資，因為集團在香港餐飲業已擁有完善的網絡及良好聲譽。要約人的意向為，公司將繼續發展其現有業務，且要約人將協助公司審查其業務及運營，並尋求新的機會以增加及加強集團的業務。
此外，公司已向聯交所申請於2021年12月17日上午九時正起恢復股份於聯交所的買賣。
