菲達環保(600526.SH)：擬以9.15億元購買紫光環保62.95%股權 主營業務將新增污水處理及相關運營服務
格隆匯12月16日丨菲達環保(600526.SH)公佈發行股份購買資產並募集配套資金暨關聯交易報吿書(草案)，上市公司擬向公司控股股東杭鋼集團發行股份購買其所持有的紫光環保62.95%的股權。
本次交易前，上市公司已持有紫光環保35%的股權。本次重組完成後，標的公司紫光環保將成為上市公司的控股子公司，上市公司將直接持有紫光環保97.95%的股權。本次交易前，上市公司已是環保類上市公司，且交易前已持有紫光環保的股權，本次交易系進一步增持股份。
綜合考慮象山環保的項目運營情況、盈利能力及其對於上市公司重組完成後盈利能力的影響後，上市公司董事會本着增厚上市公司收益的交易原則，審慎修訂了本次交易標的範圍。最終，公司決定調整本次重組方案，將收購的標的資產範圍由紫光環保62.95%股權和象山環保51.00%股權變更為紫光環保62.95%股權。
本次交易標的資產的交易價格以符合證券法規定的資產評估機構出具並經有權國有資產監管部門備案的評估報吿的評估結果為定價基礎，經雙方協商確定為9.15億元。
上市公司擬向特定投資者以非公開發行股票的形式募集配套資金。根據本次股份發行價格6.01元/股計算，發行股份數量為1.52億股(不足一股的部分計入資本公積)。發行股份數量以中國證監會核准的發行數量為準。
本次交易募集配套資金總額不超過8.22億元，不超過本次擬發行股份購買資產交易價格的100%。募集資金在扣除中介機構費用及相關税費後，擬用於投入桐廬縣分水鎮污水廠一二期清潔排放提標工程項目、桐廬縣分水鎮污水廠三期擴建工程項目、福清市元洪投資區污水處理廠一二期提標改造項目、青田縣金三角污水處理廠清潔排放改造工程項目、低碳生態環保設計研究院、浙江富春紫光環保股份有限公司智慧水務項目及補充上市公司流動資金。其中，補充上市公司流動資金的比例未超過募集配套資金總額的50%。
本次交易前，上市公司主營業務為大氣污染治理設備的生產及銷售，主要產品包括除塵器、煙氣脱硫設備、垃圾焚燒煙氣處理設備及相關配套件等，此外上市公司還提供固廢處理服務。
本次交易完成後，上市公司的主營業務將新增污水處理及相關運營服務，上市公司主營業務板塊將更加豐富，水、氣、固等環保領域的佈局將更加完善。本次交易有利於將上市公司打造為綜合型的環保產業服務上市平台，有利於完善上市公司在環保產業的多領域佈局，優化內部資源配置，統籌高效開展環保產業相關業務。
