中國人壽(601628.SH)：擬以不超15億元認購國壽投資設立的新源股權計劃
格隆匯12月16日丨中國人壽(601628.SH)公佈，公司擬以不超過人民幣15億元認購國壽投資保險資產管理有限公司(“國壽投資”)設立的國壽投資—新源壹號股權投資計劃(“新源股權計劃”，最終名稱以中國保險資產管理業協會登記的名稱為準)，並擬於2022年12月31日前與國壽投資就此簽署《國壽投資—新源壹號股權投資計劃受託合同》。
新源股權計劃的全部委託資金將用於投資北京新源壹號股權投資基金合夥企業(有限合夥)(“新源合夥企業”，最終名稱以工商登記信息為準)中的有限合夥份額。
國壽投資將代表新源股權計劃並作為有限合夥人，與廣州金宏資產管理有限公司(“廣州金宏”)和國能(北京)私募基金管理有限公司(“國1能基金管理”)(各方均作為普通合夥人)以及北京國能綠色低碳發展投資基金(有限合夥)2(“國能低碳基金”)和龍源電力集團股份有限公司3(“龍源電力”)(各方均作為有限合夥人)簽署《北京新源壹號股權投資基金合夥企業(有限合夥)之合夥協議》。
公司及中國人壽財產保險股份有限公司(“財產險公司”)擬分別以不超過人民幣24億元及人民幣6億元認購國壽投資設立的國壽投資—新電壹號股權投資計劃(“新電股權計劃”，最終名稱以中國保險資產管理業協會登記的名稱為準)，並擬於2022年12月31日前與國壽投資就此簽署《國壽投資—新電壹號股權投資計劃受託合同》。
新電股權計劃的全部委託資金將用於投資北京新電壹號股權投資基金合夥企業(有限合夥)(“新電合夥企業”，最終名稱以工商登記信息為準)中的有限合夥份額。
國壽投資將代表新電股權計劃並作為有限合夥人，與廣州金宏(作為普通合夥人)及中國華電集團有限公司4(“華電集團”)(作為有限合夥人)簽署《北京新電壹號股權投資基金合夥企業(有限合夥)之合夥協議》。國壽金石資產管理有限公司(“國壽金石”)將作為新源合夥企業和新電合夥企業的管理人。
