星光文化(01159.HK)擬1.33億港元收購ACEG的38%權益 探索元宇宙領域的商機及擴大日本市場的業務合作
格隆匯12月15日丨星光文化(01159.HK)公佈，於2021年12月15日，公司擬向賣方Cresent Investment Company Ltd收購目標公司Serensight Investment Company Ltd的全部已發行股本，代價為1.33億港元。代價將通過向賣方發行合共8060.61萬股(佔經擴大公司股份約8.91%)代價股份進行支付，發行價為每股1.65港元，較12月15日收市價溢價約112%。
於完成後，公司將持有目標公司的全部已發行股本。目標公司擁有1892.79萬股ACEG股份(佔公吿日期ACEG已發行股本約38%權益)。ACEG透過其全資附屬公司持有外商獨資企業的全部已發行股本。根據合約安排，外商獨資企業對營運公司的經營行使控制權並享有營運公司產生的經濟利益。ACEG集團為一間娛樂商業集團，主要從事亞洲頂級女子偶像團體AKB48於中國的營運及發展虛擬偶像及數字作品製作等新業務，致力於打造一個包括音樂及流行偶像的元宇宙生態。
公吿稱，集團主要從事電影製作業的投資。集團與多位世界知名導演合作，具有能力尋找及利用蓬勃發展的電影相關IP及元宇宙市場的商機。集團一直在審視其現有業務及在中國和海外市場發掘潛在商機，以進一步發展及擴大其媒體及文化業務。鑑於ACEG集團從事亞洲頂級女子偶像團體AKB48在中國的營運並已率先發展虛擬偶像及數字作品製作等新業務，致力於打造一個包括音樂及流行偶像的元宇宙生態，董事認為，收購事項將為集團多元化其業務及擴大客户基礎，並獲得具有重大影響力及市場潛力的IP資源。收購事項亦標誌着與日本業務合作伙伴合作的開始。預期集團將透過ACEG集團與其他位於日本的媒體及娛樂公司就獲得更多除AKB48以外的IP資源、探索元宇宙領域的商機以及日後擴大其在日本市場的業務範圍進行進一步合作。此外，ACEG集團能夠利用集團可獲得的荷里活IP及元宇宙資源，發展其元宇宙業務，包括製作虛擬女子偶像團體、虛擬演唱會及創作女子偶像主題的數字作品。
