格隆匯12月15日丨福然德(605050.SH)公佈，公司近日分別收到公司監事付京洋以及公司監事崔懷祥出具的《關於本人親屬短線交易的情況及致歉説明》。其中，公司監事付京洋的配偶姚小麗以及公司監事崔懷祥的配偶高申蘭均存在短線交易公司股票的情形。
經核查，公司監事付京洋的配偶姚小麗具體交易明細如下：
根據《證券法》等相關規定，姚小麗上述買賣公司股票的行為已構成短線交易(其中，姚小麗自2021年5月10日買入公司股票，並於2021年7月23日賣出的行為構成第一次短線交易)。
上述明細中涉及短線交易所獲盈利合計為1.4011萬元(計算方法：賣出價格×賣出股份數量-買入價格×買入股份數量)。截止本公吿披露日，姚小麗不再持有公司股票。
經核查，公司監事崔懷祥的配偶高申蘭具體交易明細如下：
根據《證券法》等相關規定，高申蘭上述買賣公司股票的行為已構成短線交易。
上述短線交易所獲盈利合計為417.00元(計算方法：賣出價格×賣出股份數量-買入價格×買入股份數量)。截止本公吿披露日，高申蘭女士不再持有公司股票。
根據相關規定，姚小麗及高申蘭買賣公司股票的行為已構成短線交易。姚小麗及高申蘭本次短線交易獲利金額分別為14,011.20元、417.00元，姚小麗及高申蘭均已主動將所獲收益全數上交公司。
本次短線交易行為系姚小麗及高申蘭根據二級市場的判斷做出的自主投資行為，公司監事付京洋及公司監事崔懷祥均不知曉該等交易情況，交易前後付京洋及崔懷祥亦未吿知其配偶關於公司經營情況等相關信息。本次交易行為均為姚小麗及高申蘭個人操作，不存在利用內幕信息謀求利益的目的，亦不存在主觀違規的情況。
姚小麗及高申蘭均已深刻認識到此次交易事項的嚴重性，對因短線交易而帶來的不良影響致以誠摯的歉意，並將在今後加強學習有關法律法規，嚴格遵守相關規定，自覺維護證券市場秩序，杜絕此類情況再次發生。
