金通靈(300091.SZ)：與北京漢氫簽署氫能產業合作協議 總投資額暫估2.3億元
格隆匯12月15日丨金通靈(300091.SZ)公佈，2021年12月13日，公司作為甲方與北京漢氫科技有限公司(簡稱”北京漢氫“)作為乙方簽署了《氫能產業合作協議》，協議總投資額暫估為2.3億元人民幣。雙方從該合作協議簽署之日起立即開展產品和工程項目的合作。
1、乙方提供在甘肅、寧夏、貴州、內蒙、新疆等地氫能源綜合利用項目的信息、渠道，落實以上項目的制氫、氫氣儲運、加氫、氫能利用、合成氨、甲醇等整體解決方案，實現項目投資建設總承包。
2、甲方負責乙方選定項目的評估、投資、運營等事項，同時牽頭成立氫能源綜合利用項目公司。項目公司由甲方控股，股權佔比80%；乙方和當地政府或合作方作為財務投資或戰略投資方參股項目公司，股權佔比20%。首個寧夏項目公司(暫定)註冊資金約6000萬元人民幣，項目總投資暫估為2.3億元人民幣。
3、乙方負責項目的工程建設總包，並完成整體工藝設計、設備選型、主要設備參數、主要設備的生產製造與採購、設備成套等，承擔整個工藝包的所有技術責任，對質量和性能負責。
4、甲乙雙方協商一致，由甲方子公司江蘇運能能源科技有限公司承接項目公司土建和安裝工程，按照乙方的設計要求進行施工，對工程施工質量負責。
5、在乙方總包的設備項目中，水制氫電解槽、儲氫及加氫站設備、合成氨鍋爐、氫能鍋爐等核心設備，由乙方提供設計圖紙及工藝，由甲方及其子公司承接生產製造，甲方及其子公司保證核心設備的生產進度及製造質量；雙方共同商定項目公司生產運營準備事宜，包括原則性定價細節。乙方總包的設備如需招標，則優先通過甲方招標採購平台進行統一招標採購。
6、雙方合作項目上形成的技術和知識產權屬於雙方共有，甲方及其子公司可以對外銷售相關產品，優先保證乙方的設備加工及供應；若雙方成立合資公司，則成果歸合資公司所有。
